Vice President (VP) – Company Secretary & Compliance (IPO Experience)
Location:
Head Office, Pune (Yerwada)
Experience: 15+ years in corporate secretarial functions, regulatory compliance, and governance, with hands-on IPO experience
Education &
Qualification:
CS (Company Secretary) qualification is mandatory
LLB / CA / MBA (Finance) is an added advantage
Strong knowledge of SEBI, Companies Act, and listing regulations
Role Overview:
The VP – CS will be responsible for corporate governance, regulatory compliance, and ensuring adherence to legal and statutory requirements. The role involves overseeing IPO execution , liaising with SEBI, stock exchanges, and other regulatory bodies, and ensuring smooth corporate operations.
Key Responsibilities:
1. IPO Execution & Compliance:
Lead the IPO process, ensuring compliance with SEBI, Stock Exchange, and ROC guidelines.
Work closely with investment bankers, legal advisors, and auditors during IPO filing.
Draft and review IPO-related documents, including DRHP (Draft Red Herring Prospectus), RHP (Red Herring Prospectus), and listing agreements.
Ensure timely regulatory filings and approvals for public listing.
2. Corporate Governance & Secretarial Functions:
Ensure compliance with the Companies Act, SEBI regulations, and stock exchange norms.
Organize and manage Board Meetings, AGMs, and committee meetings.
Maintain statutory registers, minutes, and corporate records.
Provide guidance to the Board on governance best practices.
3. Regulatory & Legal Compliance:
Ensure compliance with corporate laws, listing regulations, and disclosure norms.
Manage risk assessment, due diligence, and compliance audits.
Handle insider trading regulations, ESOPs, and related disclosures.
4. Stakeholder & Investor Relations:
Act as the primary point of contact for SEBI, stock exchanges, and investors.
Collaborate with financial and legal teams to address investor queries.
Develop policies to ensure transparency and investor confidence.
Required Skills &
Competencies:
Strong knowledge of SEBI regulations, Companies Act, and corporate governance.
Hands-on experience in IPO execution and listing compliance.
Excellent communication, negotiation, and stakeholder management skills.
Ability to handle high-pressure situations and ensure regulatory adherence.
Proficiency in regulatory filings, corporate disclosures, and investor communications.
