Position: Transaction Management Officer / Negotiator – Prime Finance *(Hybrid)
The Transaction Management Officer II is a senior-level, non-attorney role responsible for representing the Legal Function in providing Transaction Management expertise to Citi’s businesses and functions. The area handles negotiation, transaction processes, documentation, and execution of business transactions, such as establishing trading or banking relationships and documenting securities trades.
This role requires a pragmatic, proactive professional with a thorough understanding of the business, its products, services, and contractual legal implications. Excellent communication and diplomacy skills are essential, as the role involves advising Citi businesses on contractual provisions and associated risks.
Responsibilities:
Review, draft, and negotiate contracts and documentation for relevant Citi businesses.
Conduct complex business negotiations efficiently and thoroughly.
Collaborate with clients, counsel, and internal teams during negotiations.
Serve as a subject matter expert addressing queries and escalating as needed.
Maintain detailed records of negotiations with unresponsive customers.
Develop and implement projects related to regulation, process improvements, or new product development.
Stay informed of regulatory and legal changes, ensuring compliance.
Advise on risks and documentation requirements based on product and jurisdiction.
Assess risks in business decisions, ensuring compliance, ethical conduct, and proper escalation of issues.
Qualifications:
6-10 years of relevant experience, preferably with in-house legal experience in financial services.
Experience in Transaction Management and contractual negotiations in large institutional settings.
Proven ability to complete complex documentation under tight deadlines.
Strong organizational, interpersonal, and communication skills, capable of engaging with senior management.
Proficiency in Microsoft Office suite.
Deep knowledge of legal customs, practices, and the financial services industry.
Experience with complex corporate structures like hedge funds, SPVs, mutual funds, etc.
Education:
Bachelor’s degree required;
Master’s preferred.
Additional responsibilities include supporting Prime Finance, providing legal and regulatory advice on prime brokerage, margin lending, and securities financing transactions, and collaborating on platform and product development with a focus on legal and regulatory implications.
Qualifications for Prime Finance:
Knowledge of U.S. margin regulation and related laws is advantageous.
Familiarity with ISDA infrastructure is a plus.
