Summary:

The Technology Counsel will serve as a key member of the Legal team, providing strategic and practical legal guidance on a wide range of technology-related matters. This role will focus on SaaS (Software as a Service) transactions, data privacy and security, intellectual property protections, and emerging areas such as artificial intelligence. The ideal candidate will possess strong contract negotiation skills and experience advising technology-focused initiatives within a corporate environment. This position requires a collaborative professional who is adept at managing complex legal issues at the intersection of technology, privacy, and corporate operations.

Essential Job Duties and Responsibilities:

Provide legal advice on SaaS agreements, including reviewing, drafting, and negotiating technology licensing and service contracts.

Conduct legal review of vendor and customer contracts, including data processing agreements and information security requirements.

Counsel business and technology teams on legal issues related to the development, acquisition, implementation, and use of software and cloud-based services.

Advise on regulatory compliance and risk management related to data privacy, data security, and intellectual property in connection with technology use and innovation.

Support strategic technology initiatives, including guidance on the use and integration of artificial intelligence.

Collaborate with internal stakeholders including IT, Security, Product, Risk, and Compliance to ensure alignment with legal standards and company policies.

Assist in the development of company-wide policies and procedures related to technology, data governance, and privacy.

Stay current on legal trends and regulatory developments in technology law, including AI, SaaS, and global privacy laws such as GDPR, CCPA, etc.

Provide support for M&A activities or other corporate transactions involving technology assets or intellectual property.

Participate in training programs to educate internal teams on relevant legal and compliance topics.

Comply with all company policies and procedures.

Maintain regular and punctual attendance.

This position is an individual contributor with no direct reports but may provide guidance, leadership, or training to others.

Qualifications:

To perform this job successfully, an individual must be able to perform each essential function satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.

Strong contract drafting and negotiation skills, particularly with SaaS and technology agreements.

Deep understanding of technology law, privacy law, corporate law, and IP law.

Ability to manage multiple priorities and deliver practical, business-oriented legal advice.

Excellent communication and interpersonal skills with the ability to influence and collaborate across teams.

Highly analytical and detail-oriented, with sound judgment and a proactive approach.

Education and/or Experience:

Juris Doctor (JD) degree from an accredited law school.

Active bar membership in at least one U.S. jurisdiction in good standing.

10+ years of experience practicing law with a focus on technology, SaaS licensing, and privacy.

In-house counsel or law firm experience supporting technology companies or corporate technology functions strongly preferred.

Experience advising on data privacy laws (e.g., GDPR, CCPA), data security practices, and intellectual property protections.

Exposure to or experience with legal issues related to AI and emerging technologies.

Knowledge of the finance or mortgage industry and its regulatory environment is a plus but not required.
