We are currently looking for legal counsel who would be interested in collaborating with us for a brief time (total 2-15 hours, depending on your availability).
We are looking for various lawyers with a focus/familiarity in employment law, company founding and structuring, IP law, and tax & securities law.
We are incorporated in Ireland and have remote contributors from various jurisdictions. More below.
ABOUT THE COMPANY
We are creating films, games, and comics for our own fantasy universe (think Lord of the Rings, Star Wars, etc., but smaller – for now hehe). We started 5 years ago as a small team of folks who were initially supposed to package a TV show. Finding ourselves unwilling to assign away our IP, we decided to build out the universe ourselves to retain (creative) control.
By now, we have managed to attract almost 300 creators who have collaborated on this project with us. We had the great fortune to get some talent on board who worked on such IPs as Star Wars, Dune, Shadow and Bone, Poor Things, Dead by Daylight, and others. A lot of us are still quite young but already disciplined (if I may say so myself).
Whilst this is absolutely a passion project, we also want to reward ourselves with success, so we “try-hard” a lot. Because we have no money, everything runs with duct tape, WD40, trust, and multiple free Miro/Figma plans, but we are making sure you can not see it on the screen.
We hope that – because we keep creative control over the entire pipeline – we get to create some very unique experiences in the crossover between genres (music, games, films, comics) that no other IP can provide and eventually earn a living this way.
YOUR RESPONSIBILITIES
- Work with our in-house counsel to finalize the MSA (we’ve already obsessed over it with a South African & Australian company lawyer and two European IP lawyers who were generous enough to assist & we ran it through Claude Fable to catch additional issues – we hope that the contract is in a reasonable state)
- Help us identify provisions that are unenforceable, illegal, inconsistent with Irish law, or expose any of the signing parties to significant risk (annotation)
- If you have the availability, help us redraft the clauses that are problematic
YOU
- A trained law professional practicing in Ireland interested in collaborating with us on this project
- Knowledge of Irish Tax-, Company/commercial/corporate-, Employment-, or IP law, and/or knowledge about structuring LTDs with profit share/royalty compensation models
COMPENSATION DETAILS
Time Investment:
Our current major bottleneck is our MSA, which fundamentally governs the relationship between all contributors and the company and allows them to receive profit share, assigns IP, ensures a compliant relationship, and prevents undue upfront tax burdens (i.e., paying tax on FMV of the company before having ever received any monetary reward). If you can help us solve this issue, we’d be eternally grateful. Even 2 hours helping us spot the most damning mistakes in the clauses pertaining to your field of expertise would already be a great help.
Salary:
At this point, there is no salary for anyone in our team. We instead give parts of the profit away (just the same as you’d help us write into the contract):
Profit Participation:
Upon request for an interview, we will send you a detailed breakdown of our plans so you can make a decision. This is fundamentally an investment contract (time invested, profit participation gained), and as a result, we are happy to support any due diligence you want to undergo ahead of joining.
