Referment is working with a specialist corporate law firm advising startups, founders and investors across the venture capital ecosystem.

They’re looking for an experienced Venture Capital Lawyer to join a growing team and advise clients throughout the lifecycle of high-growth companies, from formation and early-stage investment through subsequent funding rounds and exits.

This is a highly client-facing position with significant responsibility from the outset. You’ll work directly with founders and investors, lead transactions and negotiations, and act as a trusted adviser on important commercial and legal decisions.

The firm offers a modern alternative to the traditional large law firm environment, with a strong emphasis on quality of advice, technology, collaboration and sustainable working practices rather than simply maximising billable hours.

The Role

You’ll Advise Startups, Founders And Investors Across Areas Including

  • Company formations and corporate structuring.
  • Venture capital financing rounds.
  • Advising both companies and investors on investment transactions.
  • Drafting and negotiating investment and shareholder documentation.
  • Corporate transactions and M&A.
  • Company sales and exits.
  • Employee equity and incentive schemes.
  • Corporate governance and shareholder matters.
  • Negotiating complex commercial and corporate agreements.
  • Advising founders and investors on strategic legal decisions.

You’ll have direct client responsibility and be expected to manage transactions with a high degree of independence.

You’ll also have the opportunity to contribute to how the firm develops, including its approach to technology, client service and internal ways of working.

What We’re Looking For

You’ll ideally have:

  • Approximately 4+ years’ experience within Venture Capital, Private Equity, M&A or Corporate Law.
  • German legal qualification, including the Second State Examination, or a comparable qualification.
  • Strong experience drafting and negotiating corporate and transactional documentation.
  • Experience managing transactions with a high degree of independence.
  • The confidence to work directly with founders, investors and senior stakeholders.
  • Excellent communication and negotiation skills.
  • A strong interest in startups, venture capital, entrepreneurship and technology.
  • A commercial and pragmatic approach to legal advice.
  • Fluent professional German and English.

Previous experience advising on venture capital financing rounds would be particularly valuable, although strong M&A or corporate lawyers with genuine interest in moving deeper into the venture ecosystem would also be considered.

This could suit a Venture Capital Lawyer, Corporate Lawyer, M&A Lawyer or Private Equity Lawyer looking for greater client ownership and a more entrepreneurial environment.
