McGovern Law is seeking an experienced Senior Corporate Paralegal to provide high-level support across corporate transactions, entity governance, venture financings, securities matters, mergers and acquisitions, and related regulatory work. This role is focused entirely on corporate and transactional matters and does not include litigation support.
The position is designed for a senior paralegal who can independently manage complex workflows, anticipate attorney and client needs, maintain exceptional attention to detail, and help transactions move efficiently from initiation through closing. The Senior Corporate Paralegal will report to the Founding Partner and receive day-to-day work direction and coordination from the firm’s Lead Paralegal.
We offer a 100% virtual work environment for the right candidate, so long as they can be available during regular business hours. All candidates must be licensed in the appropriate state in which they are located.
This role is part-time, approximately 10–20 hours per week initially, with an anticipated opportunity to transition to full-time based on firm needs and performance
Job Duties:
· Assist with the formation, maintenance, restructuring, and dissolution of corporations, LLCs, and other business entities.
· Draft and prepare corporate governance documents, including certificates of formation or incorporation, bylaws, operating agreements, written consents, resolutions, and related organizational documents.
· Prepare and coordinate state and federal business filings, registrations, amendments, annual reports, and other compliance filings.
· Support venture capital and other financing transactions, including maintaining closing checklists, organizing signature documents, coordinating closing requirements, and preparing closing sets.
· Support securities law compliance, including SEC and applicable Blue Sky filings.
· Assist attorneys with mergers, acquisitions, financings, and other corporate transactions, including due diligence, data-room organization, and closing coordination.
· Maintain corporate records, capitalization information, organizational documents, and entity records with a high degree of accuracy.
· Coordinate signatures, filings, closing deliverables, and post-closing requirements.
· Communicate directly and professionally with clients regarding documentation, signatures, entity information, filings, and transaction logistics.
· Conduct corporate, securities, transactional, and regulatory research as requested by attorneys.
· Assist with tax-related corporate filings and administrative compliance matters under attorney direction.
· Maintain transaction calendars, filing deadlines, checklists, and other matter-management tools.
· Identify missing information, upcoming deadlines, inconsistencies, and potential administrative issues before they delay a transaction or client matter.
· Help develop and maintain standardized templates, checklists, procedures, and matter workflows that improve consistency and efficiency across the firm.
Qualifications:
Required
· 7+ years of substantive corporate and transactional paralegal experience with a law firm or sophisticated in-house legal department.
· Significant experience with corporate formations, governance documents, entity maintenance, transaction management, and corporate records.
· Experience supporting corporate transactions from initial diligence through closing and post-closing activities.
· Demonstrated ability to independently manage multiple matters, deadlines, and competing priorities.
· Exceptional attention to detail, document-management skills, and follow-through.
· Strong written and verbal communication skills and the ability to communicate professionally with attorneys and clients.
· Strong judgment, discretion, responsiveness, and commitment to client service.
· Ability to work independently while collaborating effectively with attorneys and other members of a small, entrepreneurial firm.
· Proficiency with modern legal research, document-management, and productivity tools.
Preferred
· Experience supporting startups, venture-backed companies, investors, or investment funds.
· Experience with venture financings, capitalization records, stock issuances, SAFEs, convertible instruments, and related corporate documentation.
· Experience with SEC filings, EDGAR, and Blue Sky compliance.
· Experience supporting mergers and acquisitions.
· Experience with tax-related corporate matters.
· Paralegal certificate or degree in Paralegal Studies, Business, or a related field.
