The ideal candidate will bring substantial paralegal experience (preferably within private equity, asset management, or a related field), a strong command of corporate documentation, and a collaborative, team-oriented mindset.

Responsibilities:

  • Entity Management & Governance
  • Oversee legal entity lifecycle management across the firm’s structure, including formations, dissolutions, and ongoing compliance
  • Maintain corporate records, minute books, and governance documentation
  • Support internal committees including materials coordination and recordkeeping
  • Cross-Functional Support
  • Partner with investment, finance, and compliance teams on legal and administrative workstreams
  • Serve as a resource for firm-wide questions, leveraging institutional knowledge and documentation
  • Support ad hoc legal, regulatory, and operational initiatives as needed
  • Transaction & Execution Support
  • Coordinate execution of legal documents, including review, distribution, and signature tracking
  • Facilitate closing processes and maintain organized records of final executed agreements
  • Liaise with internal stakeholders and external counsel to ensure timely completion of deliverables
  • Assist with Know Your Customer (KYC) processes with banking partners and counterparties
  • Corporate & Fund Documentation
  • Support and manage a wide range of corporate and fund-related documents
  • Board and investor resolutions and consents
  • Formation and governance documents for new entities
  • Maintain and organize precedent documentation and ensure consistency across firm materials
  • Draft and maintain form agreements and templates to improve efficiency and standardization
  • Systems & Process Improvement
  • Support implementation and ongoing management of document management and contract administration systems
  • Identify opportunities to modernize and streamline legal and administrative processes
  • Transition manual workflows into scalable, technology-enabled solutions
  • Administration Support for General Counsel and Assistant General Counsel

Qualifications & Experience:

  • 5-10 years of paralegal experience, preferably within private equity, asset management, or corporate law
  • Paralegal certificate and notary a plus
  • Deep experience drafting and managing legal documents and corporate records
  • Strong understanding of entity management, governance practices, fund structures and transactional processes
  • Demonstrated ability to manage multiple priorities with accuracy and attention to detail
  • High level of discretion, integrity, and professionalism
