YILPORT Iberia is seeking a Senior Legal Specialist / Legal Counsel to join its Legal Department and support the legal activities of YILPORT Iberia and Transitex Global. This role offers an excellent opportunity for a legal professional looking to broaden their in-house experience within a dynamic international environment operating across the logistics, transportation and port sectors. The successful candidate will provide day-to-day legal support across a broad range of corporate, commercial, compliance and operational matters, while working collaboratively with business stakeholders and external legal advisors.
JOB DESCRIPTION
- Support the Regional Legal Manager and HQ Legal Team on day-to-day legal matters across Portugal and Spain.
- Draft, review and assist in the negotiation of commercial agreements, including logistics, transportation, service agreements, supplier contracts, NDAs and other business-related documentation.
- Assist business teams by providing practical legal support on operational and commercial matters.
- Support corporate governance activities, including the preparation and maintenance of corporate records, resolutions, powers of attorney and statutory documentation.
- Draft, organize and maintain Board of Directors' and Shareholders' meeting minutes and related corporate documentation.
- Assist with compliance initiatives and regulatory matters affecting the business such as port operations, maritime, transportation and logistics related regulations.
- Ensure compliance with applicable Portuguese, Spanish, and EU regulations, concessions and other important contracts.
- Support the management of litigation and dispute resolution matters, coordinating information and documentation with external counsel.
- Conduct legal research and prepare legal memoranda, reports and presentations when required.
- Support employment-related matters in coordination with HR and external legal advisors.
- Monitor legal and corporate deadlines and ensure proper maintenance of legal documentation and records.
QUALIFICATIONS
- Qualified lawyer under Portuguese law.
- Approximately 5–8 years of relevant legal experience gained in a law firm and/or in-house legal environment.
- Strong experience in commercial and corporate legal matters.
- Fluency in Portuguese and English.
