Position Summary
The Senior Manager – Commercial Contracts & Deal Management will own and drive the end-to-end contracting process for customer engagements, including Master Services Agreements (MSAs), Statements of Work (SOWs), Business Associate Agreements (BAAs), Data Processing Agreements (DPAs), amendments, vendor agreements, and other commercial documents.
The ideal candidate combines strong commercial acumen, contract negotiation expertise, healthcare regulatory awareness, and extensive experience supporting technology services transactions. This role will partner closely with Delivery, Finance, Cyber Security, Compliance, and Legal teams to accelerate deal closure while effectively managing contractual risk.
Key Responsibilities
Commercial Contracting & Negotiation
- Lead review, drafting, negotiation, and execution of customer-facing commercial agreements.
- Manage lifecycle activities for all contractual documents including MSA, SOW, BAA, DPA, NDA.
- Serve as the primary contracting advisor for business stakeholders during deal pursuits.
- Negotiate commercial, operational, legal, privacy, security, and compliance provisions.
- Drive redlining discussions with customers and external counsel on key contractual aspects including privacy (HIPAA, US State privacy requirements), indemnities, limitation of liability, warranties, insurance, intellectual property, data protection, and cybersecurity provisions.
- Identify contractual risks and recommend practical mitigation strategies.
- Maintain approved contractual positions, fallback clauses, and negotiation playbooks.
- Participate in customer negotiations and contracting discussions.
- Collaborate with delivery teams to ensure contractual obligations are operationally achievable.
- Support revenue acceleration by reducing contracting cycle times and removing deal bottlenecks.
- Provide contract guidance to executive leadership during complex negotiations.
- Develop and maintain standard templates, clause libraries, and contracting playbooks.
- Establish contracting metrics and reporting dashboards.
- Improve contract review workflows and governance processes.
- Support implementation and optimization of Contract Lifecycle Management (CLM) platforms.
- Ensure contract repositories and records are maintained accurately.

Required Qualifications
Education
- Master’s degree in Law, Business, Commerce, Engineering, or related field.
- MBA, LLB, LLM, or equivalent professional qualification preferred.
Experience
- 12–15 years of experience in commercial contracting, legal operations, contract management, or deal desk functions.
- Significant experience in IT services, technology consulting, digital engineering, healthcare technology, or outsourcing industries.
- Demonstrated experience negotiating complex enterprise agreements with U.S.-based clients.
- Familiarity with SOC 2, HITRUST, ISO 27001, and healthcare security frameworks.
- Experience supporting healthcare, health-tech, provider, or life sciences clients preferred.
