Our client is a privately-owned investment platform managing a diverse portfolio of strategic investments across Asia. The firm is actively involved in direct investments, private equity opportunities, fund investments and partnerships across multiple sectors.
With an entrepreneurial and lean team structure, the organisation works closely with business leaders, investment professionals and external advisors on complex transactions, fund-related matters and commercial initiatives. This role offers exposure to high-value investment activities, cross-border deals and a broad range of legal work within a dynamic environment.
About The Role
Reporting to the Head of Legal, you will serve as a key legal adviser supporting the group’s investment and commercial activities.
Key responsibilities include:
- Advising on private investments, joint ventures, acquisitions and strategic transactions across multiple jurisdictions.
- Preparing, reviewing and negotiating transaction documentation, including investment agreements, shareholder arrangements and acquisition-related contracts.
- Supporting deal execution involving Hong Kong, Mainland China and offshore structures.
- Working closely with investment teams and external counsel throughout transaction lifecycles.
- Providing legal support to private investment vehicles and fund-related operations, including investor onboarding, subscription documentation and downstream investments.
- Coordinating with fund administrators, auditors and external legal advisers on fund matters.
- Advising on a variety of commercial agreements, partnerships and business initiatives.
- Providing legal guidance on corporate governance, entity structuring and day-to-day corporate matters across the group.
- Managing legal risks while offering practical and commercially focused solutions to stakeholders.
Requirements
- Qualified lawyer with 7-10 years’ PQE, gained from a reputable law firm and/or in-house environment.
- Strong experience in M&A, private investments, corporate transactions and general commercial matters.
- Exposure to private funds, investment vehicles or alternative investment structures would be advantageous.
- Familiarity with cross-border transactions involving Hong Kong, Mainland China and offshore jurisdictions.
- Ability to independently manage multiple matters and interact directly with senior stakeholders.
- Commercially minded with strong drafting, negotiation and stakeholder management capabilities.
- Comfortable operating in a lean and fast-paced environment where matters can range from strategic transactions to day-to-day corporate advisory work.
- Fluent English required; Chinese language capability (Cantonese and/or Mandarin) is highly desirable.
