We are seeking an experienced and business-oriented Senior Legal Counsel to support our clients growing B2B2C and B2B operations. This role will play a critical part in providing high-quality legal advice across commercial activities, ensuring robust compliance frameworks, and supporting corporate matters. The ideal candidate brings strong expertise in contract negotiation and drafting, coupled with a pragmatic, solutions-driven mindset.
Key Responsibilities
Commercial Legal Support
- Lead the drafting, review, and negotiation of a wide range of commercial agreements, including procurement, supply chain, and sales contracts
- Provide strategic legal advice to business teams on B2B2C and B2B transactions
- Identify and mitigate legal and commercial risks while enabling business objectives
- Develop and maintain contract templates and playbooks to improve efficiency and consistency
Compliance & Regulatory
- Ensure compliance with applicable laws and regulations, including competition law and anti-corruption frameworks (e.g., Sapin II)
- Advise on and manage policies related to conflicts of interest and whistleblowing procedures
- Support the design, implementation, and monitoring of internal compliance programs
- Deliver training and guidance to internal stakeholders on legal and compliance matters
Corporate & Governance
- Provide legal support on corporate governance, including board matters and internal policies
- Assist with corporate structuring, transactions, and internal reorganizations as needed
- Coordinate with external counsel on specialized legal matters when required
Cross-functional Collaboration
- Partner closely with commercial, procurement, compliance, and leadership teams
- Act as a trusted advisor, balancing legal risk with business priorities
- Contribute to continuous improvement of legal processes and tools
Profile & Qualifications
- Qualified lawyer with 10–15 years of relevant legal experience, ideally gained in-house and/or in a top-tier law firm
- Strong expertise in commercial law, particularly in contract drafting and negotiation (procurement, supply chain, sales)
- Solid experience in compliance, including competition law, anti-corruption (Sapin II), conflict of interest, and whistleblowing frameworks
- Proven ability to support B2B2C and B2B business models
- Excellent communication and stakeholder management skills
- Pragmatic, proactive, and solution-oriented approach
- Fluent in English and French (written and spoken)
