This role will focus exclusively on the company’s solar module business. The Senior Transaction Counsel will be directly involved in complex business transactions with responsibility for negotiating, writing, reviewing, summarizing, researching, executing and amending a wide variety of agreements, including complex solar panel sales agreements, marketing agreements, confidentiality agreements, labor contracts, IP licenses, and other general business contracts both domestically and internationally. The Senior Transaction Counsel will provide senior management (U.S. and global) with effective legal advice on company strategies and their implementation, manage legal risks, and oversee the work of supporting internal and outside counsel. The Senior Transaction Counsel of JinkoSolar (U.S.) Inc. will report to the General Counsel of JinkoSolar (U.S.) Inc..

Duties and Responsibilities

  • Draft, review, negotiate, and amend a wide variety of commercial agreements, including complex solar module sales agreements, for both domestic and international transactions.
  • Advise senior management (U.S. and global) on the legal implications of business strategies and transactions, manage legal risk, and ensure compliance with company policy and applicable U.S. laws and regulations.
  • Collaborate cross-functionally with Sales, Marketing, Business Development, Logistics, Operations, Human Resources, and departments of the company’s affiliates to support U.S. business transactions.
  • Research unique legal issues impacting the company’s transactions, including applicable statutes, judicial decisions, and regulatory frameworks (e.g., mechanic’s liens, UCC, construction statutes and regulations, dispute resolution), and monitor U.S. legislative developments that may impact the business.
  • Identify matters requiring outside counsel, manage those engagements for cost-effective outcomes, and supervise the work of junior attorneys and paralegals.
  • Provide day-to-day legal support to the General Counsel on transactional and other legal matters as the business evolves.

Requirements

  • JD from an ABA-accredited law school required.
  • Member of any State Bar in good standing. California Bar is preferred but not required.
  • 5-7 years of relevant law practice experience.
  • Experience drafting and negotiating complex commercial transactions, including long-term master purchase agreements, is required.
  • Experience in the construction industry and/or solar industry is a plus.
  • Experience in trade issues is a plus.
  • Strong ethics and impeccable integrity.
  • Excellent communication skills; ability to communicate effectively with a variety of stakeholders, including outside counsel, senior management, and business partners.
  • Self-starter with a curious, adaptable mindset and the ability to manage complex, cross-functional projects in a fast-paced environment.
  • Proficient in Outlook, Word, Excel and Litera (or other redline software).
  • Fluent in English (written/oral).
  • Travel as required.
