We are supporting our client, a leading private equity firm, in their search for a Senior Legal Associate to join their Luxembourg platform. This role plays a key part in supporting the legal function across private equity transactions, and corporate governance.

The ideal candidate will take ownership of legal workstreams, working closely with internal teams internationally, as well as external advisors, to ensure the smooth execution of transactions and effective management of corporate structures across the portfolio.

The Role

  • Lead and execute private equity and corporate transactions from a legal perspective
  • Draft, review, and negotiate a broad range of transactional and corporate documentation
  • Prepare legal documentation related to acquisitions, disposals, restructurings, and financings
  • Analyse transaction flows (sources & uses) and coordinate closely with finance teams, banks, and advisors to ensure accurate closings
  • Prepare board and shareholder documentation and attend meetings where required
  • Maintain statutory registers and ensure compliance with regulatory requirements, including RCS filings
  • Manage incorporations, restructurings, migrations, and liquidations in collaboration with external service providers
  • Act as a key point of contact with internal stakeholders, including London-based teams and finance functions
  • Coordinate with external advisors such as law firms, notaries, auditors, banks, and corporate service providers
  • Support KYC, AML, and compliance processes, including corporate due diligence and bank account openings

The Profile

  • Master’s degree in Law (EU-qualified)
  • Minimum 7 years’ experience in corporate law, private equity, or transactional legal practice
  • Proven ability to manage complex legal and transactional matters independently
  • Strong organisational and project management skills, with excellent attention to detail
  • Ability to manage multiple workstreams in a fast-paced, deal-driven environment
  • Fluent in English and French
  • Collaborative team player with a positive, professional attitude
