Key Responsibilities
- Provide strategic and practical legal support across the Japan business, advising on a broad range of commercial, corporate, regulatory, and operational matters.
- Partner with key corporate functions including Commercial, Finance, Procurement, Supply Chain, HR, Quality, Regulatory Affairs, Compliance, and Medical Affairs.
- Support M&A transactions and post-acquisition integration activities, including harmonisation of policies, contracts, governance processes, and risk management frameworks.
- Advise on product lifecycle matters relating to medical devices and life sciences products, including commercialisation, distribution, marketing, promotional activities, and interactions with healthcare professionals.
- Draft, review, negotiate, and advise on a wide range of commercial agreements, including distribution, supply, procurement, services, licensing, technology, clinical, logistics, and strategic partnership arrangements.
- Identify opportunities to streamline legal and business workflows through improved processes, playbooks, contract templates, training programmes, and self-service tools.
- Manage external counsel and coordinate with regional and global legal teams on cross-border legal matters.
- Support compliance and risk management initiatives, including healthcare compliance, anti-bribery and corruption, data privacy, competition law, and internal investigations where required.
- Deliver pragmatic, business-oriented advice that enables commercial objectives while ensuring compliance with applicable laws and regulations.
Requirements
- Qualified lawyer in Japan or another common law jurisdiction.
- Approximately 10-15 years’ post-qualification experience gained in leading law firms and/or multinational corporations.
- Previous in-house experience within the life sciences, pharmaceutical, biotechnology, healthcare, medical devices, or other highly regulated industries is strongly preferred.
- Demonstrated experience supporting business operations and advising senior stakeholders on complex commercial and corporate matters.
- Experience supporting M&A transactions and post-merger integration projects.
- Strong understanding of regulatory and compliance issues affecting life sciences and medical device businesses in Japan.
- Proven ability to drive process improvement and operational efficiency initiatives within legal or business functions.
- Excellent stakeholder management and communication skills, with the ability to influence senior leadership.
