Are you an experienced legal or fund operations professional with expertise in LP side letters, private equity funds, and regulatory compliance?
We’re looking for a Senior Legal Compliance Specialist to lead the implementation of a market-leading LP obligation management platform while ensuring ongoing compliance with complex investor side letter obligations across our global fund platform.
This is an exciting opportunity to work at the intersection of Legal, Investor Relations, Fund Operations, and Technology, helping shape scalable compliance processes within a growing alternative investment business.
What You’ll Own
Lead Ontra Insight Implementation
- Serve as the internal project lead for the end-to-end implementation of Ontra Insight across multiple private equity and private credit funds.
- Review and validate side letter obligations configured within the platform to ensure accuracy and completeness.
- Standardize legal obligations and operational workflows across all funds.
- Partner with Ontra’s implementation team, Legal, Investor Relations, Finance, and Fund Accounting to configure the platform based on business requirements.
- Develop user acceptance testing (UAT), quality assurance processes, and implementation milestones prior to go-live.
- Design and deliver training programs to business stakeholders.
- Define implementation KPIs and monitor platform adoption and project success.
Manage LP Side Letter Compliance
- Maintain a comprehensive register of Limited Partner (LP) side letter obligations across the firm’s investment funds.
- Monitor critical compliance obligations, including:
- Most Favoured Nation (MFN) elections
- Co-investment rights
- Right of First Offer (ROFO) / Right of First Refusal (ROFR)
- Fee and carried interest modifications
- Reporting and transparency obligations
- ESG, ERISA, FOIA, and regulatory provisions
- Key person, removal, and consent rights
- Proactively track obligation deadlines and coordinate timely completion with internal stakeholders.
- Partner with Legal Counsel to interpret complex or ambiguous side letter provisions.
- Coordinate with Investor Relations, Finance, and Legal teams to deliver LP-specific reporting and disclosures.
- Maintain complete audit trails and compliance documentation within Ontra Insight.
Drive Governance & Process Excellence
- Strengthen governance and operational controls surrounding LP obligations.
- Identify opportunities to improve compliance processes and operational efficiency.
- Support cross-functional initiatives that enhance fund governance and investor servicing.
What You’ll Bring
- Bachelor’s degree in Law, Business, Finance, Accounting, or a related discipline.
- 5+ years of experience in Private Equity, Private Credit, Alternative Investments, Fund Administration, Fund Operations, Legal Operations, Investor Relations, or Compliance.
- Hands-on experience managing LP side letters, fund documentation, investor obligations, or legal compliance.
- Strong understanding of private equity and private credit fund structures and common LP side letter provisions.
- Proven experience leading or supporting technology implementation projects within financial services.
- Exceptional organizational skills with the ability to manage multiple funds, deadlines, and legal obligations simultaneously.
- Strong analytical, documentation, and problem-solving skills.
- Excellent written and verbal communication skills with the ability to translate complex legal language into practical operational processes.
- Advanced proficiency with Microsoft 365 and document management systems.
It’s a Bonus If You Have
⭐ Experience with Ontra Insight or similar LP obligation management platforms such as Allvue, Accelex, iLEVEL, or equivalent.
⭐ Experience with DealCloud or other CRM and fund management platforms.
⭐ Exposure to ERISA, ESG, FOIA, or other regulatory compliance frameworks within alternative investments.
⭐ Legal background, Paralegal qualification, Juris Doctor (JD), or equivalent legal training.
⭐ Experience supporting both Private Equity and Private Credit fund structures.
