Role overview:

The Senior Legal Executive (G3) will lead the legal framework for our Livestreaming and Affiliate Marketing ecosystem in Indonesia. This role requires a professional who can master the intersection of technology, entertainment, and commerce, ensuring all contracts with Brands and KOCs are robust, scalable, and compliant with local regulations.

Responsibility:

  • Draft, review, and manage the legal documents of entities in the group, including but not limited to contracts, POAs, resolutions, DRIWs, notices, letters, and internal procedures;
  • Implement legal procedures in accordance with local laws;
  • Update, provide, and provide instructions on legal matters directly relating to the company’s business activities under the law of Indonesia and other countries offices (Tax Law, Labour Law, Law on Enterprises, Code of Civil Procedures, Law on Commercial Arbitration, etc.).
  • Draft, review, and manage legal documents for group entities, including affiliate marketing agreements, partnership contracts, POAs, and internal procedures.
  • Influencer & KOC Management: Draft and negotiate complex Talent Agreements, focusing on:

-Exclusivity & Non-compete: Defining the boundaries for KOCs when working with rival brands/platforms.

-Usage Rights: Securing rights for livestream recordings, snippets, and "re-up" content for advertising.

-Code of Conduct: Legal clauses to protect the company from "KOL scandals" or inappropriate behavior during live sessions.

  • Brand Partnerships: Lead negotiations for Livestream Service Agreements with local and global Brands, focusing on:

-Service Level Agreements (SLAs): Liability for technical failures during live sessions.

-Commercial Metrics: Legal clarity on commission structures, GMV tracking, and refund/return policies in the livestream context.

  • IP & Music Licensing: Manage legal clearances for background music, trademarks, and copyright during livestreams to avoid platform strikes or lawsuits.
  • Social Commerce Compliance: Monitor and implement changes related to MR 31/2023 (Social Commerce regulations) to ensure the company’s livestream model remains operational.

Other tasks

  • Draft or prepare opinions contributing to the drafts of legal documents of the Company;
  • Consult, instruct, and/or participate in the resolutions of claims and disputes relating to the Company;
  • Consult, instruct, and participate in the resolution of claims and disputes, with a focus on handling international partners and cross-border commercial arbitration.
  • Manage communication and legal negotiations with foreign vendors, publishers, and platforms
  • Other tasks under the assignment of the Head of the Legal Department.

Qualifications:

  • Education: Bachelor of Laws (S.H. – Sarjana Hukum) is mandatory.
  • Professional Certification: Holding a PERADI license (Indonesian Bar Association) is a strong plus.
  • Experience: 5-7 years in legal in-house, with a proven track record in MCN (Multi-Channel Network), E-commerce, or Talent Management.
  • Language: Native-level Bahasa Indonesia and fluent professional English.
  • Attitude: Professional, proactive, with a high sense of responsibility.

Skills:

  • AI Integration: Expert in using AI tools (ChatGPT, Claude, etc.) to:
  • Analyze and summarize high volumes of KOC contracts.
  • Automate the identification of high-risk clauses in Brand templates.
  • Strategic Problem-Solving: Ability to find legal pathways for new business models in the "gray areas" of the fast-evolving Indonesia livestream market.
  • Crisis Management: Experience in handling "live" legal crises (e.g., sudden contract breaches by top talents or IP takedown notices).
