Job Summary
We are seeking a top-tier attorney with deep experience in private equity fund formation and structuring. The ideal candidate comes from a major law firm (or standout in-house experience) and is comfortable navigating complex fund documentation and negotiations with institutional investors. A strong understanding of securities regulations, especially the Investment Advisers Act, is essential.
Responsibilities
Draft and negotiate fund offering documents and partnership agreements
Represent institutional investors in fund reviews and side letter negotiations
Structure PE management companies and GP entities
Advise on Investment Advisers Act compliance
Support secondaries and GP-led restructurings
Qualifications
Education: Juris Doctor (JD) from a top-tier law school, with a distinguished academic record.
Licensure: Active bar admission in the relevant jurisdiction, in good standing.
Experience & Expertise:
5+ years of hands-on experience in asset management, investment adviser compliance, and private fund formation (private equity, hedge funds, and other alternative investment vehicles).
Fund Structuring & Compliance: Proven track record advising clients on fund formation, regulatory compliance (Investment Advisers Act), and ongoing operational matters.
Regulatory & Governance Counsel: Skilled in guiding fund sponsors and investment advisers on SEC regulations, governance frameworks, and compliance policies.
Transaction Documentation: Strong drafting and negotiation skills—proficient in LPA, PPM, advisory agreements, and compliance manuals.

Preferred Background:
Prior experience at a leading law firm with a strong asset management practice.
Deepening expertise in SEC/investment adviser regulations is a plus.
