Our client, an institutional commercial real estate investment and servicing platform, is seeking a Senior Counsel, Legal & Compliance to serve as the lead legal professional supporting its CMBS servicing and asset management business. This is a unique opportunity for a commercially minded attorney to take ownership of a broad range of legal, transactional, compliance, and asset management matters within a highly specialized and intellectually rigorous segment of the commercial real estate finance market. The company is affiliated with an established commercial real estate investment platform and services a substantial portfolio of securitized commercial real estate assets.
The successful candidate will work closely with executive leadership, asset managers, servicing professionals, and outside counsel on matters involving CMBS servicing, loan workouts, asset resolutions, securitizations, intercreditor arrangements, and compliance oversight. While partnering closely with senior legal leadership across affiliated entities, this attorney will serve as the primary legal resource supporting the servicing platform and will have significant visibility with senior management and direct involvement in strategic business decisions. This role is ideal for an attorney seeking a highly autonomous in-house position with meaningful responsibility, sophisticated deal exposure, and the opportunity to broaden their legal and business leadership capabilities within a growing platform.
The position offers a highly competitive compensation package, including base salary, performance-based bonus opportunity, and comprehensive benefits. Total compensation has the potential to be exceptionally attractive relative to comparable in-house opportunities within the real estate credit and structured finance sectors.
Responsibilities:
• Provide day-to-day legal and compliance support to the CMBS servicing and asset management platform.
• Review and interpret Pooling and Servicing Agreements (PSAs), co-lender agreements, intercreditor agreements, ground leases, loan documents, and related transaction materials.
• Advise asset managers and business stakeholders regarding servicing requirements, contractual obligations, industry standards, and transaction-specific compliance considerations.
• Review loan workout proposals, asset resolution strategies, consent requests, and credit committee materials to ensure compliance with applicable servicing agreements and governing documents.
• Draft, review, and negotiate a variety of legal documentation, including reservation of rights letters, side letters, SNDAs, notices, fee entitlement correspondence, vendor agreements, property management agreements, and other transactional documents.
• Coordinate and oversee transaction-related legal processes, including required servicing notices, rating agency confirmations, third-party engagements, and closing requirements.
• Conduct pre-closing compliance reviews and post-closing audits of asset resolutions and servicing activities.
• Partner with business teams to develop, maintain, and enhance policies, procedures, and internal controls.
• Advise on legal, regulatory, and contractual matters affecting CMBS servicing, loan administration, asset management, and related operations.
• Assist with quality control initiatives, reporting obligations, and interactions with rating agencies, trust advisors, and other external stakeholders.
• Develop and deliver training materials and guidance to business professionals on legal, compliance, and servicing-related matters.
• Support broader legal, transactional, and strategic initiatives across affiliated business lines as the platform continues to grow.
Required Qualifications:
• J.D. from an accredited law school and active bar admission in good standing.
• At least 5 years of relevant legal experience at a leading law firm, financial institution, special servicer, asset manager, lender, investment manager, or comparable organization.
• Experience with commercial real estate finance, CMBS, loan servicing, loan workouts, restructurings, securitizations, asset management, creditor-side bankruptcy matters, or related disciplines.
• Strong understanding of Pooling and Servicing Agreements, intercreditor arrangements, co-lender structures, and commercial mortgage loan documentation is highly desirable.
• Excellent analytical, drafting, organizational, and communication skills.
• Strong business judgment and the ability to provide practical, solution-oriented legal advice in a fast-paced environment.
• Ability to operate independently while partnering effectively with senior business leaders and outside counsel.
• Interest in assuming a broad legal and compliance role with substantial ownership, visibility, and long-term growth potential.
Preferred Qualifications:
• Experience supporting CMBS special servicing, structured finance, commercial mortgage lending, distressed debt, or commercial real estate asset management platforms.
• Prior in-house experience is welcome but not required.
• Demonstrated ability to manage multiple stakeholders and balance legal risk with commercial objectives.
