Our client, a global law firm, is seeking a Senior Corporate Paralegal to join their Corporate & Securities practice. This individual should have expertise in UCC filings and leveraged finance. This would be mentoring 2-3 junior paralegals.

Responsibilities:
* Manage a variety of UCC-related tasks and serve as the main source of knowledge and information for the C&S attorneys regarding various matters.
* Perform and review pre-closing and post-filing UCC/Lien searches and draft related summary charts.
* Compile, review, and file UCC filings (including alternate types of filings). Maintain proficiency with UCC through seminar attendance and monitoring of code revisions.
* Draft and file organizational documents for various business entities (corporations, LLCs, limited partnerships). This includes certificates of formation, bylaws, LLC agreements, and limited partnership agreements.
* Prepare and file statutory filings, including charter amendments, dissolution, foreign state registration, conversion, merger, and domestication filings.
* Acquire Federal Employer Identification Numbers for businesses and investigate their status information.
* Handle drafting, organization, and various deal support tasks.
* Draft resolutions for the board or shareholders to approve different actions related to M&A, financing, and capital markets transactions.
* Prepare secretary’s certificates, officer’s certificates, stock certificates and powers and other similar ancillary documents.
* Prepare and update schedules for purchase, merger, credit, and security agreements, as well as perfection certificates.
* Assist in preparing, tracking, and compiling closing documents, including signature pages and closing sets.
* Assist with due diligence review of certain transaction-related documents.
* Oversee the assignment process for the C&S paralegal team to ensure effective client service and equitable distribution of work across the team.
* Conduct training sessions for C&S junior paralegals on UCC and essential substantive and procedural issues relevant to the C&S practice; serve as an ongoing resource and mentor for these junior paralegals.
* Support the C&S partners in conducting performance evaluations for the C&S junior paralegals.
Qualifications:
* Proficiency in UCC preparation, filing, and searching. Familiarity with alternative UCC filings and their requirements (e.g., PMSIs).
* Bachelor’s Degree, Paralegal Certificate and/or 7+ years’ experience.
