XB Luxembourg is delighted to partner with a well-established Luxembourg-based investment management business in the search for a Senior Corporate Officer to strengthen its Legal & Corporate Services team.

This is an excellent opportunity for an experienced corporate professional who enjoys taking ownership of a diverse portfolio of investment structures while working in a collaborative and fast-paced environment. The role combines corporate governance, fund administration, legal coordination and day-to-day corporate management, making it ideal for someone who is both technically strong and operationally minded.

Your Responsibilities

As Senior Corporate Officer, you will manage the full corporate lifecycle of a portfolio of investment entities, including regulated and non-regulated structures.

Your responsibilities will include:

  • Managing corporate matters from incorporation through to liquidation and dissolution.
  • Coordinating and preparing board meetings, including agendas, board packs, minutes and written resolutions.
  • Organising shareholder meetings, drafting related documentation, recording voting results and ensuring all resolutions are properly documented.
  • Overseeing statutory and regulatory filings, including submissions with the Luxembourg Trade and Companies Register (RCS) and the Register of Beneficial Owners (RBE).
  • Coordinating the approval and filing of annual financial statements.
  • Managing corporate governance events such as director appointments, resignations and renewals.
  • Coordinating the opening of bank accounts and supporting other corporate administration activities.
  • Liaising with a range of external stakeholders, including auditors, banks, notaries and legal advisers.
  • Managing the execution and filing of legal documentation while maintaining accurate physical and electronic corporate records.
  • Supporting the Legal & Corporate Services team on wider projects and process improvements where required.

Your Profile

  • At least 3+ year's experience as a Corporate Officer within a Luxembourg PFS, Management Company, AIFM or similar financial services environment.
  • Practical experience independently managing corporate files throughout the full lifecycle of investment structures.
  • Exposure to a varied portfolio of investment funds or corporate entities.
  • Fluency in English; French or any additional language would be considered an advantage.
  • A Bachelor's or Master's degree in Law or another legal qualification would be beneficial but is not essential.
  • Excellent organisational skills with strong attention to detail and the ability to prioritise competing deadlines.
  • A proactive, hands-on approach, excellent communication skills and a genuine team-oriented mindset.
  • A willingness to take ownership, contribute to continuous improvement initiatives and support colleagues when needed.
