Our client, a leading full-service law firm, is seeking a Senior Corporate Law Clerk to join their team.
Responsibilities
- Manage and maintain corporate records and minute books for federal, provincial, and extra‑provincial entities
- Prepare and file corporate documents relating to in corporations, amendments, amalgamations, continuances, dissolutions, and reorganizations
- Support complex corporate transactions, including mergers and acquisitions, financings, and corporate restructurings
- Conduct due diligence reviews and prepare corporate summaries and reports
- Coordinate annual maintenance and regulatory compliance requirements
- Assist lawyers and clients with corporate governance matters
- Conduct corporate, PPSA, and other relevant searches
- Liaise directly with clients, government agencies, and external service providers
- Mentor and provide guidance to junior clerks and team members as appropriate
Requirements
- 8+ years of experience as a Corporate Law Clerk in a law firm environment
- Strong knowledge of Ontario and federal corporate law and filing requirements
- Experience supporting sophisticated corporate transactions
- Securities law experience is considered a strong asset
- Excellent organizational skills and attention to detail
- Ability to manage multiple priorities and deadlines in a fast‑paced environment
- Strong written and verbal communication skills
- Proficiency with corporate database and document management systems
- Ability to work independently while collaborating effectively with lawyers and support staff
Compensation
- Salary up to $140,000, commensurate with experience
- Hybrid work arrangement (3 days in‑office)
