General Description
We are looking for an experienced U.S. securities lawyer to join our Legal and Compliance team. This role involves managing securities, corporate, transactional, and governance matters for a global biotech company listed on Nasdaq, HKEx, and Shanghai STAR Market. Strong writing and editing skills are essential.
Location:
Cambridge, MA / San Francisco, CA / Remote
Responsibilities include:
Leading the U.S.
-based corporate/securities team.
Supporting SEC and Nasdaq filings, coordinating with Asia-based colleagues on filings with HKEx and STAR Market.
Advising on compliance, disclosures, and supporting financial disclosures.
Supporting Corporate Affairs on press releases and communications.
Assisting with transactions such as equity investments, joint ventures, financings, restructurings, and M&A.
Supporting ESG and corporate governance efforts.
Assisting with Board and committee meetings, policies, and securities plans.
Managing outside counsel and legal processes.
Minimum Requirements:
Juris Doctor from an accredited U.S. law school.
8+ years of SEC reporting experience, preferably in biotech or pharma.
Additional Qualifications:
Leadership and management skills.
Excellent drafting, negotiation, and communication skills.
Strong knowledge of U.S. securities laws.
Business acumen and strategic contribution ability.
Teamwork and collaboration skills.
Ability to work independently in a fast-paced environment.
Attention to detail and discretion.
Flexibility and willingness to take on new responsibilities.
Swiss corporate governance experience is a plus.
Supervisory Responsibilities:
Managing other counsel and paralegals, with budget discretion.
Travel:
Up to 20%

Proficiency in Microsoft Office, Outlook, Word, Excel, SharePoint, EDGAR, Workiva.
Salary Range
:
$230,200 – $300,200 annually, with potential bonuses and stock options. Compensation is based on experience, skills, and location.
