Our Client is a leading management company providing comprehensive fund and corporate services to institutional and private clients worldwide.
They are seeking a Senior Associate – Corporate Secretarial Services (CoSec) to join their Luxembourg office and play a key role in ensuring regulatory compliance, corporate governance, and operational excellence across a complex client portfolio.
Your areas of responsibility:
- Manage a complex portfolio of underlying client entities within a single client relationship.
- Oversee day-to-day operations, ensuring timely and accurate service delivery.
- Maintain statutory records and ensure compliance with regulatory and internal requirements.
- Support company lifecycle events such as incorporations, dissolutions, AGMs/EGMs, and other ad hoc corporate matters.
- Draft, finalise, and review corporate documentation and resolutions.
- Manage regulatory filings, RBE register updates, RCS deposits, and legalisation processes.
- Provide guidance, training, and mentorship to team members when required.
- Support board governance activities, including meeting preparation, coordination, minute-taking, and follow-up actions.
- Contribute to process improvement and project work impacting team operations.
- Assist with client relationship management, invoicing, and performance tracking.
- Collaborate proactively with internal stakeholders and external service providers.
Your profile:
- Minimum of 4 years of experience in a similar corporate or fund governance role.
- Degree in Business, Law, or equivalent experience in company secretarial services.
- Strong knowledge of Luxembourg corporate and fund regulations.
- ILA qualification (completed or in progress) or equivalent certification.
- Excellent organisational, communication, and time management skills.
- High attention to detail with the ability to manage priorities under pressure.
- Proficient in MS Office (Word, Excel, Outlook, Teams).
- Fluent in English (written and spoken).
