What are you expected to do? – Secretarial Compliances
- Prepare agendas, conduct board meetings, committees, and annual general meetings (AGMs), and follow up on action points.
- Subject matter expert on everything related to Corporate Laws FEMA Regulations,
- Single point of contact for all the secretarial matters and handle independently.
- Assistance in secretarial and FEMA compliance of overseas entities.
- Conducting Board, Committee and shareholder’s meeting
- Designing and conducting trainings as required under various regulations.
- Drive insider trading (PIT) related framework and compliance.
- Responsible for drafting, negotiating and reviewing various legal agreements, contracts and arrangements
- Advising business on various legal matters
- Interacting with various external law firms on business matter
- Evaluate proposals, action plans and other situations that may have legal impact and determine pertinent course of action as required
- Collaborate with the other Compliance Team members to bring consistency in relevant controls across the business requirements.
- Automate reporting and controls.
- Contribute to other firm wide compliance Projects.
What are we looking for ?
- Must possess strong domain knowledge and understanding of Corporate Laws, contract Laws, registration, stamping, FEMA & SEBI regulations related to AIF and PMS and mutual funds.
- Able to work on multiple assignments, and meet competing deadlines;
- Strong interpersonal skills and the ability to work in a dynamic team environment
- Demonstrated ability to stay current with, and analyze regulatory and compliance program requirements
- Strong attention to detail, with the ability to identify anomalies
- Ability to work effectively in a team, as well as independently
- Strong communication skills
- Demonstrate ownership in all tasks at hand
Qualification & Experience
- Qualified Company Secretary, bachelor’s degree in law.
- 3-5 years of relevant experience.
