Position: Â Global Growing, Restaurant Group – Corporate Counsel
Im currently working with a global food chain that is looking to hire a Corporate Counsel. This publicly traded establishment has been on a path of growth and is a household name internationally. They are currently expanding their legal function and hiring a Corporate and Securities Counsel to join their team. This individual will focus on providing legal advice and guidance to the business on a range of corporate and securities law compliance and general corporate matters.
This individual will ideally operate on a hybrid model out of the companys headquarters in the greater Columbus, OH area.
Responsibilities
Provide legal counsel on compliance with securities regulations (33 Act and 34 Act), including managing filings and disclosures.
Lead the preparation and compliance of the companys proxy statement. Oversee filing of proxy materials, respond to shareholder proposals, and coordinate with internal and external stakeholders.
Maintain and update corporate governance documents and charters and provide guidance on governance issues.
Review, negotiate, and provide legal guidance cross-functionally on contracts, such as stock repurchase agreements, master service agreements, and audit engagement letters.
Requirements
3+ years of experience advising public companies on corporate and securities law
Strong foundation in advising on corporate finance, equity plan matters, and executive compensation.
Proven experience in reviewing and negotiation contracts
