Position Overview

Sunstone Two Tree is seeking an experienced Real Estate Paralegal to support our growing portfolio of acquisitions, dispositions, financings, and development/construction projects. This is an in-office position based at either the Westlake Village, California office or Scottsdale, Arizona office. This role will work closely with the CEO, CIO, General Counsel, and deal teams to prepare, review, and manage transaction documentation across the full lifecycle of our real estate investments — from acquisition and joint venture formation through financing, construction, development, and disposition.

Because Sunstone Two Tree operates as its own general contractor, this role also supports the construction side of the business, including subcontractor agreements, mechanic's lien tracking and releases, notices to owner, and contractor licensing compliance. The ideal candidate has at least 10 years of experience as a paralegal in real estate transactions and development — experience with a homebuilder, general contractor, law firm, or real estate investment firm is all relevant background — and is comfortable managing multiple deals and construction matters simultaneously, with a high level of precision, discretion, and organization in a fast-moving, entrepreneurial environment.

Key Responsibilities

  • Assist legal counsel in preparing, drafting, and reviewing transaction documents including purchase and sale agreements, joint venture agreements, operating agreements, loan documents, and closing checklists.
  • Coordinate due diligence for acquisitions and dispositions, including title and survey review, entity formation documents, and estoppel and SNDA agreements.
  • Support financing transactions by preparing and organizing loan documents, UCC filings, insurance certificates, and lender due diligence materials.
  • Assist with entity formation and maintenance for special purpose entities and joint ventures, including drafting formation documents and maintaining corporate records.
  • Manage document execution, notarization, and recording processes for acquisitions, financings, and dispositions.
  • Track and maintain critical dates, deadlines, and deliverables across active transactions and the deal pipeline.
  • Coordinate with outside counsel, title companies, lenders, and joint venture partners throughout the transaction process.
  • Support development-related documentation, including construction contracts, entitlement materials, and permits, in coordination with the development team.
  • Support resolution of construction-related disputes, claims, and payment issues in coordination with the General Counsel and construction team.
  • Maintain organized and accurate deal files, closing binders, and document repositories.
  • Assist with investor and lender reporting requirements as they relate to legal and transaction documentation.

Qualifications

  • Minimum of 10 years of experience as a paralegal in commercial real estate transactions and/or development; prior experience with a homebuilder, general contractor, law firm, or real estate investment firm is all relevant background.
  • Strong working knowledge of purchase and sale agreements, joint venture and operating agreements, loan documents, and title/survey review.
  • Hands-on experience with construction-related documentation, including subcontractor agreements, mechanic's liens, lien releases, and notices to owner, ideally gained in a general contractor, homebuilder, or development environment.
  • Experience supporting entity formation and maintenance for LLCs and other special purpose entities.
  • Excellent organizational skills with the ability to manage multiple transactions and construction matters simultaneously.
  • High degree of accuracy, discretion, and professionalism in handling confidential and time-sensitive matters.
  • Strong written and verbal communication skills.
  • Proficiency in Microsoft Word, Excel, and Outlook; familiarity with document management and closing software a plus.
  • Bachelor's degree or paralegal certificate preferred.
