Job Summary:
We seek a highly skilled and experienced Contracts Manager and Corporate Paralegal to join our team. This role is pivotal in managing contracts with vendors, suppliers, and other corporate business partners while providing paralegal support to our General Counsel in contract management and litigation matters. The ideal candidate will have a strong background in contract law, corporate paralegal experience, and the ability to manage multiple priorities in a fast-paced environment. This position will ensure compliance, mitigate risks, and maintain strong relationships with our business partners.

Key Responsibilities:

Contract Management:

Oversee the entire contract lifecycle, including drafting, negotiation, execution, and post-execution management for vendor, supplier, and corporate business contracts.
Ensure all contracts comply with company policies, legal requirements, and industry standards.
Monitor contract performance and ensure all parties meet their obligations.
Maintain accurate and up-to-date records of all contracts and related documentation.

Corporate Paralegal Support:

Assist the General Counsel with contract-related legal matters, including litigation support, contract disputes, and compliance issues.
Conduct legal research and provide summaries on relevant case law, statutes, and regulations.
Draft and review corporate legal documents, including contracts, amendments, and corporate governance materials.
Manage corporate records, including minute books, resolutions, and other corporate filings.

Vendor and Stakeholder Relations:

Serve as the primary point of contact for vendors, suppliers, and internal stakeholders regarding contract-related inquiries and issues.
Build strong relationships with external partners to ensure smooth contract execution and compliance.
Address and resolve any contract-related disputes or issues promptly and professionally.

Compliance and Risk Management:

Monitor compliance with contract terms and conditions and meet all contractual obligations.
Identify and mitigate potential risks associated with contracts and corporate legal matters.
Develop and implement policies and procedures to improve contract management and legal compliance.

Reporting and Analysis:

Generate regular reports on contract performance, compliance, and other key metrics.
Analyze contract data to identify trends, risks, and opportunities for improvement.
Provide recommendations to senior management on contract strategy and risk mitigation.

Qualifications and Skills:

Education:

Bachelor’s degree in business, Law, or a related field.
Completion of a formal paralegal program or equivalent legal education.

Experience:

Minimum of 5+ years of combined experience in contract management and corporate paralegal roles.
Proven experience in drafting, negotiating, and managing complex business contracts.
Experience supporting corporate legal teams, particularly in litigation and transactional matters.
Law firm experience in relevant subjects (e.g., corporate law, real estate, contract law, litigation) is highly preferred.

Skills:

Strong knowledge of contract law, corporate law, and compliance requirements.
Excellent negotiation, communication, and interpersonal skills.
Highly organized with the ability to manage multiple projects and deadlines simultaneously.
Strong analytical and problem-solving skills.
Proficiency in legal research and document management software.
Ability to maintain confidentiality and handle sensitive information with discretion.

Certifications (Preferred):

Certified Paralegal (CP) or Contract Manager (CCM) designation is a plus.

Job Type: Full-time

Pay: $98,226.00 – $104,677.00 per year
