Our client is seeking a highly motivated and skilled Mid-Level Associate to join their Private Investment Funds practice in Washington, DC. This is an exceptional opportunity to work with a growing team at the forefront of fund formation and regulatory matters within private equity, real estate, and technology sectors.
Responsibilities:
Play a key role in advising clients on fund formation transactions, with a focus on private equity, real estate, and tech-driven investments.
Collaborate closely with partners and fellow associates on sophisticated matters involving private placements under the Securities Act of 1933.
Provide counsel on structuring and compliance for unregistered funds under the Investment Company Act and advisers subject to the Investment Advisers Act.
Oversee and coordinate core components of complex transactions while mentoring junior attorneys and contributing to client development.
Qualifications:
JD from a top-tier law school with outstanding academic credentials.
Class year 2020–2022, with relevant and comparable law firm experience.
Demonstrated expertise in private investment fund formation and structuring.
Deep understanding of the ’33 Act, Investment Company Act, and Investment Advisers Act.
Superb verbal and written communication skills and a proactive approach to client service.
Admission to the DC Bar, or ability to obtain promptly.
