Duties
- Advise fund sponsors on drafting and negotiating core fund documents.
- Draft placement memoranda, partnership agreements, and subscription agreements.
- Negotiate side letters and other related documents.
- Review fund and co-invest documentation for institutional investors.
Requirements
- 3-5 years of experience in private investment fund formation.
- Experience at a large law firm or in-house preferred.
- Knowledge of fund terms and issues impacting fund sponsors and investors.
- Familiarity with relevant securities rules and regulations.
Education
- Juris Doctor (JD) degree required.
- Bar admission in the state of Connecticut or eligibility to waive in.
