Whistler Partners is working with a high-growth law firm looking to add junior and midlevel private equity M&A associates to its expanding New York team. The practice represents sophisticated middle-market sponsors and portfolio companies across software and technology, industrials, business services, consumer, healthcare, and other active private equity sectors.
Associates work on platform acquisitions, add-ons, carveouts, portfolio company transactions, exits, and related strategic matters. The firm pays market and offers the caliber of work and clients candidates would expect from BigLaw, but within a younger and more entrepreneurial platform. The firm is growing at a pace rarely seen in legal and is continuing to add partners, clients, and transaction volume. This is an opportunity to join before the platform becomes obvious to the rest of the market.

Key Responsibilities
- Represent private equity sponsors and portfolio companies in middle-market M&A transactions.
- Support platform acquisitions, add-ons, dispositions, carveouts, exits, and other corporate transactions.
- Draft and revise purchase agreements, merger agreements, disclosure schedules, ancillary documents, consents, and closing materials.
- Coordinate diligence processes and manage transaction checklists and deal workstreams.
- Work directly with partners, senior associates, clients, opposing counsel, and specialist teams.
- Assist portfolio companies with ongoing acquisition activity and general corporate matters.
- Take increasing ownership of transactions as experience develops.
- Build substantive relationships with sponsor and portfolio company clients.
About You
- Junior to midlevel associate with private equity M&A or strong general M&A experience.
- Experience with sponsor-side transactions strongly preferred.
- Strong drafting, analytical, organizational, and communication skills.
- Ability to manage multiple transaction workstreams in a fast-moving environment.
- Interest in working closely with partners and taking on meaningful responsibility early.
- Comfort operating in a growing, entrepreneurial law firm environment.
- Interest in private equity, portfolio company work, and the broader sponsor ecosystem.
- Strong academic credentials and high-quality law firm training preferred.
