Role Overview

This is a post for 2 (two) vacancies. We are seeking experienced Lawyer cum Company Secretary candidates, to manage corporate legal, transactions, governance, compliance, and secretarial matters. The role requires a professional who can independently handle transactions, legal documentation, board and shareholder matters, regulatory compliances, and governance-related responsibilities while working closely with senior management and external stakeholders.

The ideal candidate will possess strong expertise in corporate law, Companies Act compliance, contract management, and secretarial practices, with the ability to balance legal risk and business objectives.

Candidate Profile

Essential Qualifications

• LL.B. (3-year or 5-year integrated) from a top tier university.

• 5-12 years of relevant experience in either top tier or mid tier law firm, in transaction and M&A division.

• Qualified Company Secretary (Member of the Institute of Company Secretaries of India) is an advantage.

Key Responsibilities

1.     Corporate Transactions & Due Diligence

• Assist in mergers, acquisitions, investments, joint ventures, restructurings, and other corporate transactions.

• Conduct legal due diligence and review corporate records and regulatory compliances.

• Draft, review, and negotiate transaction documents including Share Purchase Agreements, Shareholders' Agreements, Subscription Agreements, Term Sheets, and related documentation.

• Support transaction execution, closing activities, and post-closing compliance requirements.

• Coordinate with investors, advisors, consultants, and regulatory authorities as required.

2.     Legal & Corporate Advisory

• Draft, review, negotiate, and manage a wide range of commercial contracts, including service agreements, vendor agreements, confidentiality agreements, consultancy agreements, employment-related documents, and other business contracts.

• Provide legal advice on corporate, commercial, regulatory, and governance matters.

• Conduct legal research and prepare legal opinions, advisory notes, and risk assessments.

• Identify legal and regulatory risks and recommend practical mitigation measures.

• Support business teams on legal aspects of day-to-day operations and strategic initiatives.

• Coordinate with external counsel on litigation, dispute resolution, and specialized legal matters, where required.

3.Company Secretarial & Corporate Governance

• Ensure compliance with the Companies Act, 2013 and applicable corporate laws, rules, and regulations.

• Convene and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of agendas, notices, minutes, and resolutions.

• Maintain statutory registers, records, and corporate documentation.

• Manage filings and submissions with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and other regulatory authorities.

• Advise the Board and management on corporate governance practices and regulatory developments.

• Ensure compliance with secretarial standards and corporate governance requirements.

• Support implementation and monitoring of internal compliance frameworks and policies.

4.Regulatory Compliance & Stakeholder Management

• Monitor changes in applicable laws and regulations and assess their impact on the organization.

• Ensure timely completion of statutory and regulatory filings.

• Coordinate with auditors, consultants, regulators, and external advisors on compliance matters.

• Act as a key point of contact for internal stakeholders on legal and secretarial matters.

• Support compliance training and awareness initiatives across business functions.

5.Team & Leadership Responsibilities

• Work closely with senior management on legal, governance, and compliance matters.

• Supervise and mentor junior team members and support staff, where applicable.

• Review work products prepared by junior professionals and provide guidance.

• Contribute to process improvements, knowledge management, and compliance best practices.

Technical Skills

• Strong knowledge of the Companies Act, 2013, corporate governance requirements, and secretarial compliances.

• Sound understanding of corporate and commercial laws.

• Experience in drafting, reviewing, and negotiating legal and transaction documents.

• Familiarity with foreign investment regulations, corporate restructuring, and regulatory compliance frameworks.

• Experience in managing Board and shareholder-related matters.

• Strong legal research, analytical, and drafting capabilities.

• Proficiency in MCA filings and corporate compliance management.
