Direct Financial Accountability
Advise on, counsel on, and handle various commercial legal matters, mergers, acquisitions, and other strategic business alliances, assist with board and company corporate resolutions, employment law matters, litigation and disputes, and other general legal issues for the North American Vision Care businesses and other regions as necessary and requested.
Structure, negotiate, draft, and revise commercial contracts (e.g., supply, manufacturing, distribution, customer, vendor, real estate, consulting, and IT) and contract templates .
Assist the Human Resource team in analyzing, addressing, and resolving employment-related issues and disputes and with reviewing and preparing employment-related agreements and notices.
Manage and oversee business investigations, disputes, and litigation, including responses to subpoenas.
Assist in the development, implementation and monitoring of corporate policies, procedures, programs, and external communications.
Collaborate with the Marketing team to ensure that all marketing and promotional materials are compliant with applicable legal requirements.
Advise and counsel on healthcare laws (e.g., HIPAA, Anti-kickback statute, False Claims Act, FDA, and related state and federal regulations in the countries in the region).
Collaborate with other departments (for example, Human Resources, Compliance, Regulatory Affairs, Clinical Research, Medical Affairs, Sales & Marketing, Operations, R&D, Global Functions) to identify legal issues and assist the business in achieving its goals/objectives in a legally compliant and ethical manner.
Maintain a current working knowledge of new laws and regulatory developments to anticipate business and/or regulatory challenges and recommend process, product, and service improvements.
Identify system or process improvements that may increase efficiency and reduce cost.
Provide time-sensitive, solutions-oriented strategy support to internal and external stakeholders, which could have positive financial impact on the company.
Work with the Compliance team to develop and present compliance training to field-based colleagues.
Develop and deliver training to ensure that colleagues are educated regarding current relevant developments in applicable laws and regulations
Knowledge and Skill Requisition:
J.D. degree, 10 – 15 years PQE.
English language skills necessary, Spanish, French and Portuguese may be helpful.
Admitted to at least one bar in the US.
Skills need to be in line with required competencies, together with ability to negotiate and draft agreements, direct outside counsel in an effective and efficient manner, and collaborate with and counsel business team leaders and other team members.
