New York City, the Los Angeles metro area, or the California Bay Area.
An AmLaw Top 50 law firm is looking to add a Corporate Paralegal to their Technology & Startups team. In this role, you would provide essential legal services to emerging tech companies. This is a great opportunity for talented legal professionals to get involved with some of the most dynamic and innovative companies on the market.
Responsibilities:
Set up the company name, create formation documents, and manage the execution and filing in the appropriate jurisdictions.
Prepare forms for entity qualification or registration in foreign jurisdictions.
Support the drafting of employment agreements, purchase and option contracts, stock plans, and other relevant documents.
Assist with the liquidation and dissolution processes.
Essential Qualifications:
Bachelor’s degree.
5+ years of experience as a corporate paralegal.
Experience working for a law firm.
Expertise in the procedures, terminology, and documents involved in the formation of corporate entities.
Familiarity with California Corporations Code, New York Business Corporate Law, and Delaware General Corporate Law.
ABA-approved paralegal certificate (preferred).
Salary:
up to $160k base.
