The Associate General Counsel, Technology, Intellectual Property, Privacy and Sourcing (TIPPS) will play a crucial role in navigating the legal issues surrounding Moody’s digital footprint and supporting our high-tech business initiatives globally. This role requires a driven attorney with a proven track record related to cutting edge technology (including artificial intelligence), intellectual property advice and defense/protection, cybersecurity, data privacy and security, and complex sourcing transactions, particularly with large technology vendors such as hyperscalers and SaaS providers. The right candidate will be comfortable providing pragmatic guidance and direction to business leaders and managing a globally distributed team of attorneys.

Responsibilities

This role is a player-coach managing a globally distributed team of attorneys handling technology (with a strong emphasis on Artificial Intelligence), intellectual property, privacy, cyber security, and sourcing legal matters. The successful candidate should have demonstrable experience advising on legal matters arising from complex technologies, and experience specifically advising on legal issues arising from Al is preferred. The successful candidate will be a seasoned and effective lawyer with a high degree of executive presence and excellent client service skills. They will have the ability to exercise strong and effective judgment to produce creative and constructive solutions in tight time frames, and act as a trusted business partner to internal clients.

Participate in all facets of legal’s role in Al Governance including interpreting law and advising the business on legal and regulatory matters globally relating to Al
Keep apprised of relevant new laws and regulations in jurisdictions where Moody’s conducts business including data localization requirements, and advise on impact to lines of business
Work with Risk and other stakeholders to build and maintain a comprehensive Al governance program consistent with the EU Al Act and other relevant laws
Oversee response on information security incidents, and provide guidance and counsel on cybersecurity measures, including the development and implementation of information security policies, and incident response plans.
Manage global data privacy team and guide privacy compliance efforts in all jurisdictions where Moody’s operates, advise on data privacy issues arising from product features and new business practices
Manage global team negotiating vendor procurement agreements including large hosting providers and complex outsourcing arrangements
Oversee issues arising from regulatory obligations on sourcing transactions, including DORA and similar resilience regulations
Manage prosecution of intellectual property rights, and disputes involving patents, trademarks, copyrights and trade secrets
Assist with due diligence with respect to intellectual property and technology issues for M&A transactions
Advise on other emergent technology law issues including Digital Finance initiatives across the spectrum of Moody’s businesses
Work closely and productively with colleagues in risk, compliance, information security, procurement, business continuity, and other relevant shared services teams, as well as with top business leaders in Moody’s Ratings and Moody’s Analytics

The Team

You will be managing a dynamic global team responsible for exciting and cutting-edge technology legal issues. The position will be based in New York City. The position will report to the General Counsel of Moody’s Corporation and sit on the Senior Leadership Team for the Legal and Compliance Organization.

Skills, Competencies and Qualifications

At least 15 years of relevant combined experience at a leading law firm and/or as in house corporate counsel focusing on technology, intellectual property, cybersecurity, privacy and/or sourcing matters
Extensive experience in negotiating and drafting technology agreements, including software licenses, SaaS and cloud agreements, and technology development contracts
Strong technical skill with a demonstrable interest in emerging technologies
Management experience with globally distributed teams
Highly motivated and intellectually curious, with a willingness to learn and adapt as technology and business initiatives evolve
Demonstrate business acumen and strong work ethic with a penchant for practical, balanced, client-focused solutions
Collaborative partner who functions well as part of a team, isn’t easily ruffled, and is in possession of a sense of humor
J.D. from an accredited law school, strong academic credentials, and admission to at least one state bar association
CIPP-US or other qualification from IAPP preferred

For US-based roles only: the anticipated hiring base salary range for this position is $231,400.00 – $335,500.00, depending on factors such as experience, education, level, skills, and location. This range is based on a full-time position. In addition to base salary, this role is eligible for incentive compensation.
