Description/Job Summary
To provide transactional support to the Funds team including client and investor liaison, deal execution, post-closing management and general administration tasks
Responsibilities/Duties
Fund Establishment:
- Preparing drafts of registration documents for new investment vehicles
- Creating proforma side letters to reflect the key changes made by the client when raising a successor fund
Subscription Agreements:
- Reviewing subscription documents from investors investing in clients’ funds
- Emailing investors in order to correct any discrepancies in their responses to the investor questionnaire and compiling updated subscription documents to take into account investors’ revised responses
- Liaising with Anti-Money Laundering teams and administrators in order to ensure investors are cleared to proceed with their investments
- Liaising with internal third parties to obtain relevant documents and responses to investor queries and comments
Project Management:
- Maintaining multiple trackers and checklists on various aspects of the funds process (including subscription documents, side letters and comment memos) for a significant number of investors in order to provide a continually updated status of each investor to attorneys and clients
- Participating in periodic update calls with clients and third party administrators to review the progress and next steps of a particular fund
Fund Closings:
- Preparing and ensuring all relevant documents are ready to be countersigned by the client prior to a closing
- Reviewing, filing and circulating countersigned documents to clients, investors and administrators following a closing
- Providing general transactional support: preparing and submitting Companies House filings, drafting corporate authorisations, liaising with specialist foreign counsel, carrying out winding up / insolvency searches, and preparing opinion and closing bibles
Master Side Letters, Most Favoured Nations:
- Compiling master side letters by collating the provisions of each individual investor’s side letter
- Assembling most favoured nation election forms and tailoring each form according to investors’ existing side letter provisions
- Reviewing the most favoured nation election forms completed by investors prior to acceptance by the client and updating the master side letter to reflect the additional obligations agreed to therein
General Paralegal duties:
- Monitor group and personal emails for work requests
- Prioritize work to manage time effectively and meet deadlines
- Prepare for and attend departmental meetings and training sessions
- Review documents/agreements – proofread, review defined terms and cross-references
- Research using external subscription services (PLC, Westlaw, LexisNexis)
- Maintaining / updating closing checklists and providing ongoing status updates
- Conforming execution versions of documents
- Creating document closing “bibles”
- General administration tasks and other ad hoc duties as required
Required Skills
- Educated to at least a bachelor’s degree level in law (or equivalent)
- I.T. literate with a good knowledge of and competency in the use of Microsoft Word, Microsoft Excel, Adobe PDF, Filesite and iManage
- Previous paralegal experience working in a professional services environment preferred
- Excellent organisational skills and attention to detail essential
- Excellent communication skills with the ability to communicate with partners, clients and staff at all levels
- Motivated self-starter who is a good team player and able to use their initiative
- Flexibility – overtime will be required from time to time at short notice, to meet the needs of the client.
