Full Job Description
BASIC SUMMARY:
Assist in all aspects of the transactional real estate, corporate, commercial and construction practice. Coordinate and manage documentation for loan and property closings. Maintain files of standard real estate, purchase and sale agreements, and service and construction contract forms and assist with drafting standard documents (i.e., conveyances, leases, estoppels, notices of commencement and lien releases). Assist with drafting communications with members and service providers (i.e., DRC communications, violation letters, notices, and termination letters).
POSITION RESPONSIBILITIES:
Draft all types of legal documentation, including leases, lien creation and releases, uniform commercial code filings, estoppel certificates, affidavits, contract amendments, subordination, non-disturbance and atonement agreements, lease modification agreements, confidentiality agreements, letter agreements, and other documentation closing certificates, promissory notes, notices, assignments of interest and bills of sale and requisitions for funding pursuant to infrastructure construction bonds.
Review and analyze loan or credit agreements, construction contracts and agreements with service providers, term sheets and purchase agreements and prepare and manage closing checklists based on such review.
Ensure that obligations of contractual parties (including provision of required documentation, payments, and insurance confirmations) and conditions for closing are calendared and met.
Locate, review, organize and summarize due diligence documentation.
Coordinate with outside counsel, auditors, and other professionals, including opposing counsel, title companies, outside service companies and other parties, as necessary to close transactions.
Manage and monitor licenses and permits and renewals thereof.
Prepare and file multi-jurisdictional annual reports, state tax payments and other required compliance filings.
Manage and monitor statutory agent instructions and communications.
Interface with intracompany work groups and task centers, including Management, Insurance, Risk Management, Membership, and Accounting Departments
Research and interpret leases and prepare lease summaries.
Analyze and interpret HOA and condominium CCRs and organizational documents.
Assist with the DRC function.
EDUCATION/EXPERIENCE/OTHER REQUIREMENTS:
Bachelor’s Degree and Paralegal certificate.
Five plus years’ experience working in a real estate and construction department of a law firm and/or corporation legal department with a concentration in real estate and construction transactions.
Five plus years’ experience with either in-house corporate attorney or law firm.
Experience and working knowledge of real estate, corporate and construction law and practice.
Intermediate to advanced skills in Internet research involving federal, state and local government agencies, regulatory agencies, corporate service companies and websites.
