Key Responsibilities
- Maintain and update statutory registers, minute books, and corporate records for the parent company and its subsidiaries.
- Prepare and submit statutory filings in a timely manner.
- Draft board and shareholder resolutions, meeting minutes, agendas, and corporate proxies.
- Coordinate the signing, notarization, legalization, and apostille of corporate documents.
- Conduct initial reviews and draft standard commercial agreements, including NDAs, vendor agreements, service contracts, and standard terms and conditions.
- Highlight key legal risks and business terms for the legal counsel’s final review.
- Manage the full contract lifecycle: coordinate signatures, distribute executed copies to relevant stakeholders, and maintain the centralized contract database.
- Monitor and alert business units regarding upcoming contract expirations, renewals, and key compliance dates.
- Organize and maintain both electronic and physical legal files, ensuring strict document control and confidentiality.
- Assist the legal team with legal research, formatting complex legal documents, and creating presentations.
- Process legal department invoices, track external counsel billing, and assist with legal budget administration.
- Provide general administrative support to the legal team, including managing correspondence, scheduling meetings, and handling ad-hoc administrative requests.
Qualifications & Requirements
- Bachelor’s degree in Law, Legal Studies, Corporate Governance, or a related field.
- 2-4 years of proven experience as a Paralegal, Legal Assistant, or Company Secretarial Assistant, preferably within an in-house legal department.
- Highly proficient in Microsoft Office (Word, Excel, PowerPoint) and experience using contract management software or corporate registry portals.
- Exceptional attention to detail and proofreading skills.
- Strong organizational and time-management abilities, with the capacity to juggle multiple deadlines.
- Excellent written and verbal communication skills in Cantonese and English
- Ability to handle highly confidential information with absolute integrity.
