Job Overview:
Calculated Hire is partnered with a leading retailer based in Atlanta to find a skilled Corporate Specialist/Paralegal for a short-term contract role. This individual will play a critical role in providing legal support across corporate governance, litigation, and regulatory compliance functions. The position involves subsidiary management, SEC filings, commercial litigation support, and corporate structuring. The ideal candidate will work closely with legal leadership, external counsel, and internal teams to ensure compliance and mitigate legal risk.
Key Responsibilities:
Assist with subsidiary management, corporate structuring, and financing transactions.
Draft corporate resolutions, consents, and secretary’s/incumbency certificates.
Support SEC filing processes, including compliance reviews of certain filings.
Conduct research on corporate law matters.
Handle commercial lawsuits filed by customers, managing case progress and documentation.
Collaborate with local counsel law firms on litigation matters.
Engage in significant customer and opposing counsel communications regarding litigation.
Qualifications:
3+ years of paralegal or corporate legal experience in a law firm or in-house legal department.
Strong knowledge of corporate governance, SEC filings, and litigation processes.
Excellent legal research, drafting, and organizational skills.
Ability to manage multiple tasks in a fast-paced, deadline-driven environment.
Strong communication and interpersonal skills for client and counsel interactions.
