We are seeking an experienced Paralegal to join our private equity firm. The paralegal will play a crucial role in supporting the legal and compliance teams with the firm’s investments, transactions, fund operations, and corporate governance. The ideal candidate will be detail-oriented, highly organized, and possess expertise in corporate law and regulatory compliance, particularly as they relate to private equity.
Key Responsibilities:
Transactional Support
Assist with the preparation, review, and organization of legal documents related to mergers, acquisitions, divestitures, and other private equity transactions.
Manage closing checklists, ensure completion of deliverables, and coordinate the execution of transaction documents.
Conduct due diligence and maintain virtual data rooms for transactions.
Corporate Governance
Draft and maintain organizational documents, including operating agreements, bylaws, resolutions, and meeting minutes for fund entities and portfolio companies.
Manage corporate filings, including annual reports and regulatory submissions.
Track and update corporate records, ownership structures, and compliance requirements.
Fund Operations Support
Prepare and update subscription agreements, limited partnership agreements, and investor documentation.
Coordinate investor communications and maintain investor records.
Monitor compliance with fund-related contractual obligations and regulatory filings (e.g., SEC, FATCA, and CRS).
Compliance and Regulatory Assistance
Support the compliance team with regulatory filings, including Form ADV, Form PF, and other required disclosures.
Monitor changes in applicable laws and regulations and provide support for compliance training initiatives.
Assist with audits and inspections conducted by regulatory authorities.
Legal Research and Analysis
Conduct research on legal and regulatory issues relevant to private equity investments and corporate operations.
Provide summaries and updates on relevant legal and compliance developments.
Cross-functional Coordination
Liaise with external counsel, auditors, and consultants on various legal and regulatory matters.
Collaborate with internal teams, including finance, operations, and investor relations, to ensure legal and compliance objectives are met.
Qualifications:
Bachelor’s degree in a relevant field; paralegal certification from an ABA-approved program preferred.
3–5 years of experience as a paralegal in a law firm or private equity, investment management, or corporate setting.
Strong understanding of corporate governance, fund structures, and private equity transactions.
Proficiency in legal research tools, document management systems, and Microsoft Office Suite.
Excellent organizational, analytical, and communication skills.
Ability to manage multiple projects and meet tight deadlines in a dynamic, fast-paced environment.
