The Opportunity
An established U.S. law firm is seeking a mid-level associate to join its growing technology transactions practice.
The firm advises sophisticated companies across a broad range of industries on complex commercial and technology matters, including software, cloud services, e-commerce, data, intellectual property, technology-enabled services, outsourcing, and strategic commercial relationships.
This position offers substantially more than traditional contract review. The associate will work directly with partners and clients to structure, negotiate, and manage sophisticated technology transactions while developing into a trusted commercial advisor.
The ideal candidate combines strong transactional training with practical business judgment and a genuine understanding of how technology companies and technology-enabled businesses operate.
Responsibilities
The associate will:
- Structure, draft, review, and negotiate sophisticated commercial and technology agreements.
- Handle SaaS, cloud services, enterprise software, platform, software implementation, and professional services agreements.
- Draft and negotiate software and technology licenses, intellectual property agreements, strategic partnerships, and commercialization arrangements.
- Advise clients on technology procurement, outsourcing, managed services, vendor, supply-chain, and other complex commercial relationships.
- Counsel clients on e-commerce and digital-platform matters, including vendor relationships, online marketplaces, payment arrangements, and related commercial agreements.
- Draft and negotiate data processing agreements and contractual provisions involving privacy, cybersecurity, data use, confidentiality, and security obligations.
- Advise clients regarding ownership and permitted use of software, intellectual property, customer data, derived data, confidential information, and technology developed through commercial relationships.
- Identify and resolve legal and commercial issues arising in customer, vendor, licensing, technology, and strategic relationships.
- Help clients develop scalable contracting approaches, including standard agreements, negotiation positions, contract playbooks, and commercial workflows.
- Provide practical advice that balances legal risk against commercial objectives, operational realities, and transaction timelines.
- Work directly with sophisticated business clients and assume increasing responsibility for transactions and client relationships.
- Collaborate with attorneys across corporate, intellectual property, privacy and cybersecurity, M&A, and other complementary practices.
- Contribute to client development, thought leadership, and practice-building initiatives as experience progresses.
Qualifications
Candidates should have:
- J.D. from an accredited law school with strong academic credentials.
- Approximately 3–6 years of relevant transactional experience.
- Experience at a sophisticated law firm, in-house legal department, or combination of both.
- Significant experience drafting and negotiating commercial and technology agreements.
- Experience with several of the following:
- SaaS and cloud services agreements
- Software licensing
- Software implementation agreements
- Professional and technology services agreements
- IT and managed-services agreements
- Technology procurement
- Data processing agreements
- E-commerce and platform agreements
- Outsourcing arrangements
- IP licensing and commercialization
- Vendor and supply-chain agreements
- Excellent drafting, negotiation, analytical, and communication skills.
- Strong commercial judgment and the ability to identify which risks materially affect a transaction.
- Ability to manage transactions and workstreams with increasing independence.
- Active bar membership and eligibility to practice in the jurisdiction associated with the position.
Preferred Experience
Additional experience in any of the following areas would be valuable but is not required:
- Artificial intelligence and machine-learning transactions.
- AI-related issues involving training data, model outputs, third-party models, data use, intellectual property, and contractual allocation of risk.
- Privacy and cybersecurity matters.
- E-commerce, marketplaces, payment processing, and digital-platform businesses.
- Technology and intellectual-property issues arising in M&A and strategic transactions.
- Supply chain, logistics, manufacturing, or technology procurement.
- International technology transactions.
- Emerging-growth or middle-market companies.
- Experience serving as outside general counsel or providing ongoing commercial advice directly to business executives.
- CIPP/US or another relevant privacy credential.
Candidate Profile
The strongest candidate will be more than an excellent technical lawyer.
The firm is looking for an attorney who can understand a client’s business objectives, evaluate legal and commercial risk, recommend a practical path forward, and efficiently move transactions toward completion.
Successful candidates should be able to:
- Independently negotiate sophisticated technology agreements.
- Understand the commercial mechanics of SaaS, cloud computing, software platforms, e-commerce, data, and other technology-enabled businesses.
- Distinguish material legal and business risks from lower-priority negotiating issues.
- Develop practical solutions rather than simply identify problems.
- Explain complex contractual and technology issues clearly to executives, business teams, procurement professionals, and technology stakeholders.
- Manage multiple sophisticated transactions simultaneously.
- Operate effectively with limited supervision while knowing when an issue warrants escalation.
- Build strong, long-term client relationships.
- Take increasing ownership of matters and client relationships as they progress within the firm.
