Requirements + Personal Attributes

  • Post qualification experience – preferably 3 – 5 years from a leading international law firm.
  • Language(s) – English (Arabic a plus but not essential)
  • Qualifying jurisdiction/s – Common Law (preferably Common law qualified)
  • Experience – Dual M&A and General Corporate/Commercial in either a leading global jurisdiction and/or the GCC/Bahrain

Primary Job Purpose

As an Associate based in the Corporate Commercial department you will be part of the M&A and General Corporate/Commercial team which is responsible for cross-border, local and international legal advisory in the wider MENA region and transactional acquisitions, disposals, joint ventures as well as the full gamut of corporate commercial mandates including franchising, agency, distribution and general commercial contracts.

Our clients include global corporations, regionally listed and private corporations, governmental authorities, business enterprises, private equity firms and financial institutions to whom we provide a full-service practice with specific industry sector focus.

Duties & Responsibilities

  • Advising on deal structuring and strategy;
  • Conducting legal due diligence (M&A);
  • Preparing, amending and negotiating acquisition agreements, shareholder agreements and joint venture agreements and other transactional related documentation;
  • VC and PE experience;
  • Demonstrating initiative with respect to client development and wider business development activities;
  • Legal project management;
  • Advising on the full spectrum of corporate commercial matters including licensing, franchising, agency, distribution and general commercial contracts.
  • Corresponding with regulators;
  • Advising on corporate governance matters; and
  • Ensuring billing average of 6 hours a day and collection targets are met.
