Position Summary

We are looking for a Senior Counsel to serve the Integrity Health business division. The Senior Counsel of Integrity Health will report to the Chief Legal Officer and will serve as the main transactional lawyer and legal advisor for the Integrity Health portfolio of companies. The individual will be an experienced, proactive and intelligent attorney who will negotiate with counterparties on important commercial transactions and prepare transactional documents relating to Integrity Health.

Primary Responsibilities

Serve as the Senior Counsel of Integrity Health, and play the lead transactional role supporting all of the Integrity Health portfolio of companies
Work closely with the Integrity Health executive team (including the President of Integrity Health, C-level executives of Integrity Health and the Integrity Health compliance team) to undertake, manage and execute Integrity Health’s strategic, corporate and regulatory reorganization
Review and negotiate commercial transactions with important counterparties
Support the Integrity Health counterparties in the legal aspects of advisor and client transitions
Work collaboratively with important stakeholders within Integrity Health and with Integrity as a whole to ensure that important business objectives are met
Work collaboratively with compliance and regulatory teams to ensure robust internal processes over transactions, compliance and risk management

Required Competencies

Strong transactional background in commercial transactions, M&A or funds, with at least 4-6 years of experience at a law firm or in-house at a company with demonstrated experience
Strong drafting, critical thinking and negotiating skills
Must be a proactive and confident leader, with the willingness to “lean in” and provide robust legal advice and direction to the Integrity Health business teams
Fast learner, and willingness to learn and tackle whatever comes in through the door related to reorganization, regulatory considerations, commercial transactions, products etc.
Excellent writing and communication skills and the ability to identify, initiate and conclude strategic objectives in a collaborative, team-based “no ego” environment.
Solutions-oriented legal advisor who is willing to “roll up sleeves”, understand the issues and work at solving them independently
Confident legal advisor to the other stakeholders and demonstrate reasoned balance between risk management and business practicalities
Strong intellectual curiosity and desire to professionally develop and grow
Service-oriented and good team player

Requirements:

Juris Doctor from an Accredited Law School
4-6 years of big-law or comparable in-house experience
