Job Purpose
- As the Legal Manager to real estate private equity fund, to provide strategic legal support and advice on legal, regulatory and compliance matters.
- Manage the legal and compliance matters of the fund and company secretarial aspects ensuring statutory compliance.
- To be committed in maintaining high standards of legal compliance and governance across.
Job Responsibilities
- Review, draft and negotiate key legal agreements/ancillary documents/contracts and providing ad-hoc advice to assist the operation of the fund.
- Advise and assist in structuring transactions and support legal due diligence by reviewing and drafting agreements/ancillary documents for corporate transactions/exercises. Key documentation include term sheets, Non-Disclosure Agreements, Joint Venture Agreements, shareholders’ agreements, collaboration agreements, banking documents, facility agreements, security documents, memorandums, offering documents, circulars and announcements.
- Negotiation with external parties in corporate transactions, such as contractual counterparties, advisory matters and managing external lawyers.
- Monitoring transaction conditions precedent and subsequent, execution of documents, and post-transaction matters to ensure corporate transactions are closed out successfully.
- Draft, negotiate, and review legal contracts and agreements upholding the Group’s standards of legal and regulatory compliance, framework and policies.
- Ensure full compliance with applicable laws, regulatory requirements and governance standards which include the Companies Act, Economic Planning Unit Guidelines, National Land Code, related real estate/property laws, Bank Negara Malaysia Guidelines and Policies and Securities Commission requirements.
- Oversee corporate secretarial matters and resolutions for the Board, Investment Committee, any relevant committees and shareholders' meetings.
- Review and negotiate key agreements which include real-estate/property transactions, construction agreements, lease agreements, and financing documents with banks, while acting as custodian and gatekeeper of all contractual documentation and agreements.
- Manage and oversee overall ad hoc legal, compliance, regulatory and company secretarial matters across internal and external stakeholders.
Education/Professional Qualification
- Bachelor of Laws or equivalent in related field
- Experience working in real estate or property development sector is an added advantage.
- Minimum 6 years of relevant experience
- Strong knowledge in legal frameworks and corporate governance
- Able to work independently and managing multiple tasks, complemented by effective communication and interpersonal abilities.
