General Summary
The Manager, Corporate Governance, will support the Group General Counsel in managing corporate governance frameworks, policies, and procedures to ensure alignment with regulatory requirements (SCA, ADX, and others) and industry best practices. The role also involves overseeing board-related secretarial matters and ensuring effective board and committee operations.
Key Responsibilities
Develop, review, and implement corporate governance policies in compliance with ADX, SCA, and ADQ group requirements.
Contribute to establishing company secretariat procedures, templates, and guidelines.
Support preparation and coordination of Board and Board Committee (SIRC, AC, NRC) meetings, including compiling agendas and board packs.
Ensure quality control and timely distribution of all board documentation and materials.
Coordinate with ESA management on the collection and review of inputs for board meetings.
Liaise with Board Members and EXCO for meeting scheduling, logistics, and calendar management.
Maintain a log of board resolutions and action items; ensure follow-ups and completion.
Generate dashboards and reports with statistics on board activities and governance compliance.
Provide administrative and operational support to the Group General Counsel as needed.
Strong understanding of corporate governance principles and frameworks relevant to UAE-listed companies.
Familiarity with SCA and ADX regulations.
Qualifications
Board Secretary Certification
Minimum of 8–12 years of experience in corporate governance, preferably within government, oil & gas, or industrial sectors.
Previous exposure to listed company governance frameworks is an advantage.
Strong experience in board secretarial work and corporate governance operations.
Excellent communication and interpersonal skills.
High attention to detail and organizational abilities.
Fluent in English and Arabic (spoken and written).
Proficient in Microsoft Office and board management tools.
Strong sense of integrity, confidentiality, and professionalism.
Ability to manage multiple priorities in a fast-paced environment.
Confident in engaging with senior leadership, including GCEO, EXCO, and Board Members.
Able to work cross-functionally across departments.
Bachelor’s degree in Law or related discipline.
