Job Purpose:

The Agreements & Contracts Manager is responsible for overseeing the drafting, negotiation, review, and management of all legal agreements and contracts within the organization. This role ensures that all contractual obligations align with company policies, regulatory requirements, and business objectives. The manager will work closely with legal, procurement, finance, and business teams to mitigate risks, optimize contract performance, and ensure compliance with applicable laws.

Key Responsibilities

Contract Drafting, Review & Negotiation:

Draft, review, and negotiate a wide range of contracts, including commercial agreements, vendor contracts, service agreements, real estate and construction contracts, NDAs, and MOUs.

Ensure all contracts comply with company policies, regulatory requirements, and industry best practices.

Identify and mitigate risks associated with contractual obligations.

Work with internal stakeholders to ensure contract terms align with business objectives.

Negotiate contract terms with external parties to secure favorable conditions for the company.

Contract Management & Compliance:

Oversee the contract lifecycle from initiation to execution, renewal, or termination.

Maintain a centralized contract repository to track key dates, obligations, and performance metrics.

Ensure timely renewal, amendment, or termination of contracts as needed.

Monitor compliance with contractual obligations and escalate non-compliance issues when necessary.

Implement contract management policies, procedures, and best practices.

Legal Risk Assessment & Dispute Resolution:

Identify legal risks associated with contracts and provide recommendations to mitigate exposure.

Collaborate with the legal team to handle contract disputes, breaches, and litigation matters.

Assist in resolving contract-related issues through negotiation, mediation, or other legal remedies.

Work with insurance and risk management teams to ensure adequate coverage for contractual liabilities.

Stakeholder Collaboration & Advisory:

Act as the primary point of contact for internal departments regarding contract-related inquiries.

Provide guidance to business teams on contract interpretation, obligations, and risk implications.

Work closely with finance, procurement, and project teams to align contract terms with financial and operational goals.

Train internal teams on contract management best practices and risk mitigation strategies.

Regulatory Compliance & Policy Development:

Ensure compliance with applicable laws, regulations, and industry standards.

Monitor changes in legal and regulatory requirements affecting contracts.

Assist in developing and updating contract templates, policies, and procedures to reflect best practices.

Knowledge & Experience:

Bachelor degree in Law, Business Administration, or a related field (LLB or Master in Law preferred).

7+ years of experience in contract management, legal agreements, or corporate law.

Strong background in real estate, construction, procurement, or commercial contracts is preferred.

Experience working in an in-house legal team or corporate legal department.

Strong understanding of contract law, legal terminology, and risk management principles.

Proficiency in contract management software and legal research tools.

Excellent negotiation, communication, and stakeholder management skills.

Strong analytical and problem-solving abilities.

Attention to detail and ability to handle multiple contracts simultaneously.

Preferred Industry Experience

Experience in real estate, construction, or infrastructure projects is highly desirable.

Familiarity with FIDIC contracts, EPC agreements, and large-scale procurement contracts.
