Job Overview:
A law firm seeks a talented M&A/Transactional Associate Attorney to join its Corporate group in Houston. This position offers an excellent opportunity for a motivated legal professional with experience in mergers and acquisitions, divestitures, joint ventures, and investment transactions, particularly within the Energy & Infrastructure sector. The successful candidate will have the chance to work on high-profile projects and collaborate with senior attorneys in a fast-paced, dynamic legal environment.
Duties:
Provide legal counsel on a wide range of corporate transactions, including mergers and acquisitions (M&A), divestitures, joint ventures, and equity investments.
Assist in negotiating, drafting, and reviewing contracts and agreements related to M&A and other business transactions.
Advise clients in the Energy & Infrastructure sector on structuring and executing strategic deals, including minority and majority investments.
Conduct due diligence and advise clients on potential legal risks and regulatory issues.
Work closely with clients, providing clear and concise legal advice on corporate governance, deal structuring, and compliance matters.
Collaborate with cross-disciplinary teams to deliver comprehensive legal solutions to clients.
Prepare and review corporate documents, including shareholder agreements, merger agreements, and investment contracts.
Stay informed about industry trends, market changes, and relevant regulatory updates to provide proactive legal advice.
Requirements:
2 to 4 years of experience in corporate law, specifically in M&A, divestitures, joint ventures, and related transactional work.
Demonstrated expertise in advising clients within the Energy & Infrastructure sector is strongly preferred.
Strong background in corporate governance, deal structuring, and business law.
Experience in conducting legal research and preparing due diligence reports for large-scale transactions.
Excellent negotiation skills with the ability to manage complex, multi-party transactions.
Strong organizational and time-management abilities, with a capacity to prioritize multiple projects.
Proven ability to work effectively in a team-oriented and client-facing environment.
Excellent written and verbal communication skills, with the ability to convey complex legal concepts.
Education:
Juris Doctor (J.D.) degree from an accredited law school.
Certifications:
Active Bar membership in the state where the firm operates (preferably Texas).
Skills:
Expertise in M&A, divestitures, and joint ventures.
Knowledge of regulatory frameworks and compliance issues related to Energy & Infrastructure transactions.
Proficiency in legal research, contract negotiation, and document drafting.
Strong client management skills and the ability to build lasting client relationships.
Ability to manage and prioritize multiple tasks under tight deadlines.
Proficient in Microsoft Office Suite, and familiarity with legal software tools.
