Position: MampA / Private Equity Associate
A law firm seeks a skilled and dynamic attorney to join its Corporate M&A/Private Equity group in Palo Alto, CA. The ideal candidate will have 4-7 years of experience in corporate law, with a focus on mergers and acquisitions (M&A) and private equity transactions. Advise clients on a variety of corporate matters, focusing on mergers, acquisitions, and private equity transactions.
Draft and negotiate key documents related to M&A and private equity deals, including purchase agreements, shareholder agreements, and term sheets.
Provide strategic counsel to clients on complex corporate structuring and financial matters.
Collaborate with colleagues across various practice areas to ensure comprehensive legal advice for clients.
Represent clients in negotiations, managing client relationships, and advising on potential legal risks.
Stay informed on the latest legal developments and trends in M&A and private equity, applying this knowledge to benefit clients.
4-7 years of experience in corporate law with a focus on M&A and private equity.
Proven track record of handling complex corporate transactions and negotiations.
Strong analytical skills and the ability to assess legal and business risks.
Excellent written and verbal communication skills.
Ability to work efficiently both independently and as part of a team.
High level of professionalism and client-focused approach.
Juris Doctor (JD) degree from an ABA-accredited law school.
Strong academic credentials.
Admission to the California State Bar or eligibility to gain admission promptly.
