Position Overview

The General Counsel will be the company’s chief legal strategist, protector, and operator. This role demands a sharp, decisive legal executive who can assess risk clearly, anticipate issues before they arise, drive legal and regulatory compliance across all functions, and hold teams accountable for disciplined execution. The General Counsel will be a key advisor to the executive team, a gatekeeper for corporate integrity, and a hands-on partner to operations, HR, finance, and IT.

Key Responsibilities

Corporate Governance and Risk Mitigation

Maintain corporate records, manage governance requirements, and ensure strict compliance across all entities and states.
Build and enforce internal controls to protect corporate assets and reputation.
Lead the legal response to any incidents, regulatory inquiries, or corporate audits.
Design and enforce risk management policies, including insurance structures and incident escalation protocols.

Contracts and Commercial Transactions

Review and craft contracts, vendor agreements, supply agreements, licensing deals, customer agreements, IT agreements.
Design contract approval workflows that require executive signoff where thresholds are met.
Educate and enforce internal contract compliance.

Employment Law and Labor Relations

Provide aggressive and defensible employment law guidance to HR and executive leadership.
Proactively manage severance, discipline, investigations, and terminations to reduce liability.
Oversee employment policies across multiple jurisdictions (California, Florida, Georgia, Kentucky, etc.) ensuring consistent and enforceable practices.

Litigation and Dispute Management

Manage all litigation, arbitration, and claims aggressively and cost-effectively.
Control litigation strategy directly with outside counsel.
Defend against unfounded claims while strategically resolving legitimate risks.
Develop playbooks for handling customer disputes, product liability issues, and breach of contract matters.

Regulatory Compliance and Consumer Protection

Oversee compliance with manufacturing, product labeling, advertising, eCommerce, privacy, and product safety regulations.
Monitor regulatory changes and proactively update internal practices.
Own product recall response protocols and government reporting, if ever needed.

Cybersecurity, Data Privacy, and IT Support

Work with IT leadership to develop, maintain, and enforce cybersecurity and incident response policies.
Review SaaS, hosting, cloud, and IT vendor contracts with a focus on data protection.

M&A, Growth, and Corporate Transactions

Lead legal due diligence on any mergers, acquisitions, strategic partnerships, or real estate transactions.
Prepare acquisition targets for integration.
Protect the company in real estate deals, banking contracts, and facility expansions.

Management of Legal Resources

Select, oversee, and control spend with external counsel and consultants.
Build a small internal legal/compliance function over time as growth demands.

Required Qualifications

Juris Doctor (JD) from a top-tier accredited law school.
Active member of the California bar (or eligible for California In-House Counsel Registration).
10+ years of legal experience with a combination of major law firm and in-house leadership roles.
Deep experience with corporate law, employment law, contracts, manufacturing/distribution operations, and litigation management.
Proven success operating in fast-moving, multi-entity, mid-market companies
Strong working knowledge of consumer product regulatory environments (CPSC, FTC, Prop 65, etc.).
Experience with cybersecurity and data privacy compliance strongly preferred.
Hands-on self -starter low-ego, highly responsive leadership style.
Able to command respect across the company and drive adherence to policies.
Willing to dig into details while maintaining strategic focus.
