Position Summary
We are seeking a full-time, business-oriented Associate General Counsel to join our remote legal team. This role will be instrumental in providing strategic legal guidance on a wide range of matters. The ideal candidate will have strong experience in contract negotiation, regulatory compliance, and risk management, ensuring the company operates within relevant legal frameworks while achieving its business objectives. This is a remote position, requiring a proactive, solutions-focused attorney who can collaborate effectively across departments and drive efficiencies in legal processes.
Key Responsibilities
Contract Management: Draft, review, and negotiate a variety of commercial contracts, including Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), vendor agreements, and employment-related contracts.
Transactional Support: Provide legal guidance on mergers and acquisitions, joint ventures, and other strategic transactions, ensuring due diligence and regulatory compliance.
Risk Mitigation & Compliance: Identify legal risks, ensure compliance with applicable laws and industry regulations, including global data privacy laws, and implement strategies to minimize exposure.
Stakeholder Collaboration: Partner with internal teams—including sales, operations, finance, and HR — to align legal strategies with business objectives.
Policy & Process Improvement: Develop and refine internal legal policies, playbooks, and contract management processes to drive efficiency and mitigate risk.
Dispute Resolution & Litigation Oversight: Assist in managing disputes, pre-litigation matters, and outside counsel relationships as needed.
Legal Advisory: Provide proactive counsel on corporate governance, employment law, and other legal matters impacting the business.
Qualifications
Juris Doctor (JD) degree from an accredited law school.
Active bar membership in good standing.
Minimum 3-5 years of relevant legal experience, preferably with a mix of law firm and in-house counsel roles.
Ability to assess legal risks, develop practical solutions, and communicate effectively with stakeholders at all levels.
Experience with M&A transactions and data privacy laws a plus.
Proactive, business-minded approach to identifying and solving problems.
Excellent written and verbal communication skills.
Ability to work independently in a remote environment while managing multiple priorities and deadlines.
Strong team player with excellent interpersonal skills.
