A Real estate firm is seeking a skilled and experienced Corporate Attorney to join their team. The ideal candidate will be responsible for managing insurance, corporate risk, contracts, and entity management. Additionally, this position involves advising on legal matters related to acquisitions, loans, and other corporate matters. The Corporate Attorney will work closely with management to ensure legal compliance, mitigate risks, and assist with various legal responsibilities across the organization.
Responsibilities:
Ensure there are no gaps in coverage by reviewing and managing insurance policies.
Identify potential coverage gaps prior to binding and discuss with management.
Oversee the accuracy of information provided during the insurance application process.
Review policies for coverage gaps and summarize findings for review with appropriate management.
Handle claims management, including the review of insurance attorneys’ activities.
Manage insurance inspections, ensure follow-up with property managers, and confirm completion.
Advise on corporate risks and recommend strategies for risk mitigation.
Contract Review:
Review and summarize business terms of contracts, collaborating with relevant managers.
Ensure accuracy of entity details across all contracts.
Entity Management:
Manage all corporate entities, including registered agencies and annual reporting.
Ensure compliance with beneficial ownership reporting and other ongoing entity management requirements.
Attend and assist with depositions as necessary.
Manage the disposition of liens and address regulatory violations.
Review documents for new loans and refinancing.
Assist with legal responsibilities related to acquisitions.
Provide legal advice on various corporate matters, including HR-related concerns.
Requirements:
Juris Doctor (JD) degree from an accredited law school and active Bar membership.
Experience in real estate law, preferably within a corporate setting.
Strong confidence and ability to address adversarial situations effectively.
Exceptional professionalism, time management, and interpersonal skills.
Preferred Qualifications:
Experience in corporate risk management and insurance law.
Familiarity with real estate acquisitions, loans, and contract negotiations.
